No Government Approvals. Mortgagors warrant that no approval or consent ----------------------- of any Person is necessary to authorize the execution and delivery of this Mortgage, or any of the other Credit Agreements or the Note, or to authorize the observance or performance by Mortgagor of the covenants herein or therein contained.
No Government Approvals. No consent or approval of, giving of notice to, registration with or other action in respect of or by any federal, state or local authority is required with respect to Purchaser's execution and delivery of this Agreement, consummation of the transactions contemplated hereby or performance of its obligations hereunder, or if any such consent, approval, giving of notice or registration is required, it has been duly given or obtained or will be duly given or obtained on or prior to the Delivery Date. Purchaser shall take no action for the purpose of causing the representations and warranties set forth in this Section 6 to be untrue or incorrect as of the Delivery Date, nor shall Purchaser fail to take all reasonable actions necessary to make such representations and warranties true and correct as of the Delivery Date.
No Government Approvals. No governmental regulatory approvals or third party approvals or consents are required to be obtained by any Seller in connection with: (i) the execution, delivery and performance of this Agreement or Ancillary Documentation to which the Seller is a party, (ii) the legality, validity, binding effect or enforceability of this Agreement or Ancillary Documentation to which the Seller is a party or (iii) the consummation of any transactions contemplated under this Agreement or Ancillary Documentation to which the Seller is a party.
No Government Approvals. No approval, authorization, order or consent of, or declaration, registration or filing with, any governmental authority is required of Guarantor for the valid execution and delivery by Guarantor of this Guaranty, except such as shall have been duly obtained or made.
No Government Approvals. No authorization or approval or other action by, and no notice to or filing with, any Governmental Authority or other regulatory body is required for the due execution, delivery and performance by the Borrower of this Agreement or the other Security Documents other than the consents set out in this Agreement.
No Government Approvals. At the option of either party, upon the failure to obtain any required governmental approvals within six months from the execution of this Agreement. 7.2
No Government Approvals. No authorization, approval, consent or order of or registration or filing with any governmental or regulatory authority, commission, board, body or agency is required for the execution, delivery and performance of the Operative Agreements or the consummation of the transactions contemplated in the Operative Agreements or the issuance, sale and deliver of the Shares, except (i) as may be required under the Securities Act in connection with the registration of the Shares pursuant to the Registration Rights Agreement, (ii) the filing of a Current Report on Form 8-K pursuant to Section 4.2 of this Agreement, (iii) as may be required after the Closing under the state securities or blue sky laws of any jurisdiction in connection with the purchase and distribution of the Shares, (iv) as may be required in connection with the approval of any listing application(s) for the Shares on the NASDAQ Stock Market, and (v) for any such other approvals as have been obtained.
