No Government Proceedings. The Corporation is not party to any legal or governmental proceedings. To the knowledge of the Corporation, there are no legal or governmental proceedings pending to which: (i) the Corporation is a party, or
No Government Proceedings. There are no existing or, to Seller’s knowledge, pending or threatened condemnation proceedings affecting the Property or any part thereof.
No Government Proceedings. To the best of Seller’s knowledge there are no existing, pending or contemplated condemnation, incorporation, annexation, or moratorium proceedings affecting the Property or any part thereof. Also, to the best of Seller’s knowledge, there are no existing, pending or contemplated governmental rules, regulations, plans, studies or efforts, or court orders or decisions, which do or could adversely affect the Property.
No Government Proceedings. Such Stockholder or Partner has not, during the past ten years, been the subject of any governmental proceeding, investigation or inquiry, including, without limitation, any proceeding, investigation or inquiry involving the United States Securities and Exchange Commission or any other federal or state regulatory authority having jurisdiction over the business activities of such Stockholder or Partner or any of the Purchased Entities.
No Government Proceedings. There is no action, suit, proceeding, inquiry or investigation before or brought by any court or governmental authority, governmental instrumentality or court, domestic or foreign, now pending or, to the knowledge of the Corporation, threatened against or affecting the Corporation or any Significant Subsidiary, except as would not result in a Material Adverse Effect and, to the best of the Corporation’s knowledge, no such proceedings are threatened or contemplated by Governmental Authorities or threatened by others.

No Selling Shareholder has been the subject of any governmental proceeding, investigation or inquiry involving the SEC, NASD, MSRB or any other Authority having jurisdiction over the business activities of such Selling Shareholder or Cornerstone and, during the past ten years, has not been indicted or convicted of any felony. No Selling Shareholder has been the subject of any order, judgment, or decree of any court of competent jurisdiction or Authority, permanently or temporarily enjoining him from, or otherwise limiting, the following activities: (a) acting as an investment adviser, insurance agent, underwriter, broker or dealer in securities (including municipal securities), or engaging in or continuing any conduct or practice in connection with such activity, (b) engaging in any type of business practice, or (c) engaging in any activity in connection with the purchase or sale of any security or in connection with any violation of federal or state securities laws.

There shall not be any litigation, proceeding, inquiry or investigation, formal or informal, by any individual or commission or agency or department of the Federal or any state or local government, pending or threatened, to restrain, delay or invalidate this Agreement or the transactions contemplated hereby.

Such Member has not been the subject of any material governmental proceeding, or, to such Member’s knowledge, any material investigation or inquiry involving any Governmental Entity having jurisdiction over the business activities of such Member, the Company or the Company Subsidiaries, and during the past 10 years, has not been indicted or convicted of any felony. Such Member has not been the subject of any order, judgment or decree of any court of competent jurisdiction, permanently or temporarily enjoining him or her from, or otherwise limiting the following activities: (i) acting as an investment advisor, underwriter, broker or dealer in securities, or engaging in or continuing any conduct or practice in such activity, (ii) engaging in any type of business practice, or (iii) engaging in any activity in connection with the purchase and sale of any security or in connection with any violation of federal or state securities laws.

During the past ten years, such Target Shareholder has not been the subject of any governmental proceeding, or, to the knowledge of such Target Shareholder, material investigation or inquiry involving any Governmental Entity (as defined in Section 12.4(c)) including, without limitation, the Securities and Exchange Commission (the "SEC"), the National Association of Securities Dealers, Inc. or its wholly owned subsidiary NASD Regulation, Inc. (together, the "NASD"), the CHX or any other federal or state regulatory authority having jurisdiction over the business activities of such Target Shareholder, such Target Shareholder's Target Company or the Company and has not been indicted or convicted of any felony. Such Target Shareholder has not been the subject of any order, judgment, or decree of any court of competent jurisdiction, permanently or temporarily enjoining him or her from, or otherwise limiting his or her participation in, the following activities: (i) acting as an investment adviser, underwriter, broker or dealer in securities, or engaging in or continuing any conduct or practice in connection with such activity; (ii) engaging in any type of business practice; or (iii) engaging in any activity in connection with the purchase or sale of any security or in connection with any violation of federal or state securities laws.
