No Governmental Authority of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Law or Order (whether temporary, preliminary or permanent), that is then in effect and that enjoins, restrains, makes illegal or otherwise prohibits the consummation of the transactions contemplated by this Agreement or the Ancillary Agreements.
No Governmental Authority of competent jurisdiction shall have issued or granted any order (whether temporary, preliminary or permanent) or otherwise taken any affirmative action that has the effect of making the consummation of the Transaction illegal in any jurisdiction in which the Business or the Parties have any material business or operations or which has the effect of prohibiting or otherwise preventing the consummation of the Transaction; and
No Governmental Authority of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any statute, rule, regulation, judgment, decree, injunction or other order of any nature that prohibits, enjoins or restrains the consummation of the transactions contemplated by this Agreement (each party agreeing that, prior to either party's election to terminate this Agreement pursuant to Section 7.1.2 or any other applicable provision in Section 7.1, to use its reasonable best efforts, including appeals to higher courts, to have any judgment, injunction, order or decree lifted); provided, however, that this will not include any Transfer Approval that has not yet been obtained that meets the requirements of Section 2.4.2(a) EXECUTION COPY --------------
