No Interference with Employees. Employee covenants and agrees that Employee shall not, during the Restricted Period, directly or indirectly (whether through an entity, employee or other agent of any kind) solicit or recruit any Restricted Employee or induce or attempt to induce any Restricted Employee to leave his or her employment with the Company or, to Employee’s knowledge, any member of the Company Group; provided, however, that general advertisements with respect to a position that are not directed to employees of any member of the Company Group will not violate the solicitation prohibition of this Section 13(d). “Restricted Employee” shall mean any individual who was employed by any member of the Company Group during the course of Employee’s term of employment and with whom Employee had material contact during the twelve (12) month period immediately preceding the date of Employee’s termination.
No Interference with Employees. During the Noncompetition Term, without the consent of the Board of Directors, neither Employee nor any individual, partners, limited partnership, corporation or other entity or business with which Employee is in any way affiliated, including, without limitation, any partner, limited partner, director, officer, shareholder or employee of any such entity or business, will (i) request, induce or attempt to influence, directly or indirectly, any employee of the Company to terminate his employment with the Company or (ii) employ any person who as of the date hereof was, or after such date is or was, an employee of the Company.
No Interference with Employees. Employee agrees that during ------------------------------ Employee's employment and extending through the period in which Employee is receiving severance benefits, Employee will not directly or indirectly, request or induce any other employee of the Corporation to: (i) terminate employment with the Corporation, or (ii) accept employment with another business entity, or (iii) become engaged in the convenience store business in competition with the Corporation.
No Interference with Employees. During the Restricted Period, Executive will not in any way, directly or indirectly, request or induce any other employee of Employer to terminate his employment with Employer.
No Interference with Employees. Seller hereby agrees that during a period of five years after the Closing Date, the Seller will not, directly or indirectly, solicit, request, induce, assist or encourage any other employee of the Company, the Purchaser or any of its subsidiaries to terminate his or her employment with the Company, the Purchaser or any of its subsidiaries, respectively.
No Interference with Employees. Employee agrees that during ------------------------------ Employee's employment and extending through the period ending on the later of (A) 18 months after termination or (B) the date in which Employee is no longer receiving severance benefits, Employee will not directly or indirectly, request or induce any other employee of the Corporation or its affiliates or any person who was employed by the Corporation or its affiliates in the six months prior to the request or inducement to: (i) terminate employment with the Corporation, or (ii) accept employment with another business entity, or (iii) become engaged in the convenience store business in competition with the Corporation.
No Interference with Employees. The Shareholders agree that, during the Noncompete Period, neither the Shareholders nor any of their Affiliates which they control will directly or indirectly request or induce any employee to terminate his employment with Purchaser or its Affiliates and accept employment with another business entity engaged in the Restricted Business in the Territory or hire during the Noncompete Period, any employee within twelve (12) months after termination of such person's employment with Purchaser or any of its Affiliates.
No Interference with Employees. No Seller Party shall, directly or indirectly: (i) cause, solicit, induce, or attempt to cause, solicit or induce any employee, agent, or independent contractor of Buyer to terminate such relationship with Buyer; (ii) in any way interfere with the relationship between Buyer and any of its employees, agents, or independent contractors; or (iii) at any given time, hire, retain, employ, or otherwise engage or attempt to hire, retain, employ, or otherwise engage as an employee, independent contractor, or otherwise, any entity or person who was an employee, agent, or independent contractor of Buyer at any time within six (6) months preceding such time.
No Interference with Employees. Employee agrees that, during the Restricted Period, regardless of whether, or on what basis, Employee’s engagement hereunder is terminated or any claim that Employee may have against any member of the Company Group under this Agreement or otherwise, Employee shall not, without the prior written consent of the Company, directly or indirectly, actually or attempt to: (i) solicit, induce or entice any employee, consultant or independent contractor of a member of the Company Group to terminate, reduce or refrain from renewing or extending such person’s or entity’s business or employment relationship with such member of the Company Group; (ii) solicit, induce or entice any employee of a member of the Company Group to engage in Competing Services; or (iii) employ or otherwise engage as an employee, independent contractor or consultant (a) any employee of the Company Group or (b) any person who was employed by the Company Group within the then prior twelve-month period.
No Interference with Employees. Without written consent of the other Party, for a period of three (3) year from the Closing Date, neither Party will request, induce or solicit any employee of the other Party or its affiliates to terminate his or her employment with such other Party or its affiliates and accept employment with itself or another business entity.
