No Use of Confidential Information. I represent, warrant and covenant that I have not brought and will not bring with me to the Company or use in my Engagement any materials or documents of a former employer, or any person or entity for which I have acted as an independent contractor or consultant, that are not generally available to the public, unless I have obtained written authorization from any such former employer, person or firm for their possession and use. I understand and agree that, in my service to the Company, I am not to breach any obligation of confidentiality that I have to former employers or other persons.
No Use of Confidential Information. During and at all times after the Term, the Consultant will cause its officers, directors and employees to keep confidential all Confidential Information and will not use for the benefit of the Consultant its officers, directors and employees or others (except in connection with the business and affairs of the Corporation in the course of providing services hereunder) any Confidential Information and will not disclose Confidential Information to any person except in the course of providing services under this Agreement to a person who is employed by the Corporation or with the Corporation’s prior consent. The foregoing prohibition will not apply to any Confidential Information if:
No Use of Confidential Information. Recipient hereby agrees and acknowledges that, other than as provided herein or without first obtaining Owner’s prior written consent, Recipient shall not use any of Owner’s Confidential Information.
No Use of Confidential Information. While employed by Emulex, and for 1 year afterward, Employee shall not enter into any other employment (whether as an employee, consultant, or otherwise) in which the duties of such other employment would require Employee to disclose or use any Confidential Information.
No Use of Confidential Information. You will not post, copy, modify, transmit, disclose, show in public, create any derivative works from, distribute, make commercial use of, or reproduce in any way any (i) confidential information or (ii) other copyrighted material, trademarks, or other proprietary information accessible via the Site or Services, without first obtaining the prior written consent of the owner of such proprietary rights.
No Use of Confidential Information. The Restricted Parties will not (and will not attempt to, permit or cause any of its Affiliates, subsidiaries, contractors or representatives or their respective owners, directors, officers, employees, contractors, agents, representatives or third parties to attempt), for any reason, directly or indirectly, disclose to any Person, or use or otherwise exploit for the Restricted Parties’ own benefit or for the benefit of any other Person, any Confidential Information, including but not limited to the solicitation of prior customers of Seller’s Business.
No Use of Confidential Information. During the term of this Agreement, and for a period of three (3) years thereafter, Employee shall not provide to any person or entity other than the Company services (whether as an employee, consultant, or otherwise) which are competitive with the business of the Company in which the duties of the competitive employment or service would inherently require Employee to disclose or use any Confidential Information.
No Use of Confidential Information. Without limiting Celgene’s obligations pursuant to Section 10.8(a), Celgene shall not, and shall ensure that its Affiliates and its sublicensees under the licenses granted to Celgene in this Agreement do not, use or disclose any Confidential Information of Agios or any nonpublic information regarding the Prosecution or enforcement of any Agios Patent Rights or Agios Collaboration Patent Rights to which Celgene or any of its Affiliates or sublicensees are or become privy as a consequence of the rights granted to Celgene pursuant to this Article X, in initiating, requesting, making, filing or maintaining, or in funding or otherwise assisting any other Person with respect to, any Challenge.
No Use of Confidential Information. During and all times after the term of this Agreement, the Independent Sales Representative shall keep confidential all Confidential Information and Confidential Materials and shall not use same for his or her own benefit or for the benefit of others (except in connection with the services being provided hereunder). For the purposes hereof:
No Use of Confidential Information. Each Shareholder acknowledges and agrees that all Confidential Information known or obtained by such Shareholder, whether before or after the date hereof, is the property of the Companies. Therefore, such Shareholder will not, at any time, disclose to any unauthorized Persons or use for his own account or for the benefit of any third party any Confidential Information, whether such Shareholder has such information in such Shareholder's memory or embodied in writing or other physical form, without Purchaser's prior written consent, unless and to the extent that the Confidential Information is or becomes generally known to and available for use by the public other than as a result of such Shareholder's fault or the fault (of which such Shareholder has Knowledge) of any other Person bound by a duty of confidentiality to Purchaser or the Companies. Each Shareholder will deliver to Purchaser at the time of execution of this Agreement, and at any other time Purchaser may request, all documents, memoranda, notes, plans, records, reports, and other documentation, models, components, devices, or computer software whether embodied in a disk or in other form (and all copies of all of the foregoing), relating to the businesses, operations or affairs of the Companies and any other Confidential Information that such Shareholder may then possess or have under such Shareholder's control. 6.3
