Non-Employee Director, when immediately preceded by “Xxxx-XxXxx,” means a member of Xxxx-XxXxx’x Board of Directors who is not an employee of Xxxx-XxXxx, a Xxxx-XxXxx Entity, Tronox, or a Tronox Entity. When immediately preceded by “Tronox,” Non-Employee Director means a member of Tronox’s Board of Directors who is not an employee of Xxxx-XxXxx, a Xxxx-XxXxx Entity, Tronox or a Tronox Entity.
Non-Employee Director. Pursuant to this Award Agreement and the Marathon Oil Corporation 2019 Incentive Compensation Plan (the “Plan”), MARATHON OIL CORPORATION (the “Corporation”) hereby grants to [NAME] (the “Participant”), a non-employee director of the Corporation, on {DATE} (the “Grant Date”), [NUMBER] restricted stock units (“Restricted Units”) representing the right to receive shares of Common Stock. Non-Employee Director. The Grantee acknowledges his or her responsibility for the payment of any taxes for the respective tax jurisdiction attributable to any share of Common Stock or cash or property deliverable in connection with the Earned Units and that no taxes will be withheld by the Company. Employee: The lapse of the Restrictions on any Units pursuant to Section 2 above shall be conditioned on the Grantee or his or her personal representative having made appropriate arrangements with the Company to provide for the withholding of any taxes required to be withheld by Federal, state or local laws in respect of such lapse. This includes providing FICA/Medicare taxes associated with any accelerated vesting feature discussed in Section 2.
Non-Employee Director. The term "Non-Employee Director " shall mean a person who qualifies as such under Rule 16b-3(b)(3) under the Exchange Act or any successor provision, and who also qualifies as an "outside director" under Section 162(m) of the Code.
