Non-Exclusive Territory. Nothing in this Agreement grants Purchaser an exclusive territory to market and resell any petroleum products. Supplier reserves the right to market and sell, and authorize others to market and sell, petroleum products in any manner Supplier chooses, including through its own retail outlets or through designated wholesalers or other retailers.
Non-Exclusive Territory. Licensee is hereby granted an area of nonexclusive distribution within which the Licensee shall locate at least one, but may locate more, principal places of business, which area is defined in Schedule A, annexed hereto and made a part hereof (the “Nonexclusive Territory”). The Licensee shall concentrate its efforts in using the Licensor’s Three Component Process in the Nonexclusive Territory. To this end, any shipments of materials by the Licensor to the Licensee shall be within the Nonexclusive Territory. Although the Licensee is required to concentrate its efforts in the Nonexclusive Territory, the Licensee is free to make, use, and sell the Licensor’s Products anywhere within the continental United States, and nowhere else, except in any jurisdiction where any such sales would violate any franchise, business opportunity, or other local, state or federal laws. Licensor agrees that during the term of this Agreement, other than sales and shipments to Licensee, it shall not sell within or ship to any location within the Nonexclusive Territory any of Licensor’s Products, for its own account, or by or on behalf of any other person, firm or corporation, directly or indirectly engaged in the business of selling or soliciting or taking orders for the sale of Cementitious Foam Insulation.
Non-Exclusive Territory. DERMA shall have a non-exclusive, royalty-bearing right and license, without the right to grant sublicenses, under the QMT Intellectual Property to use, sell, and offer for sale Products within the Field (with the exception of products provided to, developed for, or sold to the general, over-the-counter consumer market) in the Non-exclusive Territory. QMT retains all rights to grant other licenses with respect to the QMT Intellectual Property in the Field for any purpose whatsoever in the Non-Exclusive Territory, including, without limitation, exclusive, semi-exclusive, co-exclusive or non-exclusive licenses. In connection therewith, QMT has the right any time to terminate the license granted to DERMA under this Section 2.5 in all or in any part of the Non-Exclusive Territory upon thirty (30) days prior written notice to DERMA.
Non-Exclusive Territory. During the term of this Agreement and subject to satellite availability as determined by ORBIMAGE, NTT DATA shall have the right to receive OrbView Data of the Non-Exclusive Territory at the Designated Earth Station on a priority basis (also referred to herein as “Priority OrbView Images”) and on a non-priority basis (also referred to herein as “Non-Priority OrbView Images”) when the High Resolution Satellites are within the Effective Imaging Range of the Non-Exclusive Territory. Notwithstanding anything in this Section 3(b)(ii) to the contrary, ORBIMAGE shall have the right to limit or terminate the rights of NTT DATA to receive OrbView Data of the Non-Exclusive Territory as provided in Section 2(e).
Non-Exclusive Territory. The following geographical regions shall be considered the Territory for purposes of this Agreement (Must List Counties for web look up, limited to 100 Counties):
Non-Exclusive Territory. NSP’s exclusive BodyGem Services sales rights specifically excludes any exclusive right to make BodyGem Services sales (other than from or through Multi-Level Direct Sales) in: (i) Day-Spa or Salon establishments; (ii) third party retail stores (retail stores not wholly-owned by NSP or a NSP distributor); or (iii) any corporation or educational institution health, wellness or research facility. NSP’s and NSP Distributors’ BodyGem Services sales rights and the License in these settings are strictly non-exclusive.
Non-Exclusive Territory. The term “Non-Exclusive Territory” shall mean all countries of the world excluding the People’s Republic of China (other than Hong Kong), South Korea, Australia, and the member nations of the Association of Southeast Asian Nations as of the Effective Date of this Agreement.
Non-Exclusive Territory. Dealer acknowledges that Dealer's rights as an authorized dealer of the Products are non-exclusive and Excelsior-Xxxxxxxxx retains and reserves to itself all rights with respect to marketing, distribution and sale of the Products and the Trademarks. Excelsior-Xxxxxxxxx reserves the right to appoint other authorized dealers for the Products, either within Dealer's Area of Primary Responsibility or elsewhere, as Excelsior-Xxxxxxxxx, in its sole discretion, may from time to time determine in order to implement its marketing plans or as it may deem desirable to provide Products and service to owners or potential owners of the Products.
Non-Exclusive Territory. The Corporation shall use the license on a non-exclusive basis in all other areas, subject to the terms of the License Agreement.
Non-Exclusive Territory. Licensor grants Licensee a non-exclusive license to manufacture, use, sell and otherwise exploit the Licensed Product. The License shall not apply to and shall have no force or effect in any territory for which Licensor grants another person or entity an exclusive license to manufacture, use, sell and otherwise exploit the Licensed Product. Licensor shall keep Licensee apprised at all times of any and all other such licenses; provided, however, that prior to granting another person or entity an exclusive license to manufacture, use, sell or otherwise exploit the Licensed Product, Licensor shall give Licensee a right of first refusal to provide the Licensed Product in the territory to be granted to another person or entity under the same terms and conditions under which Licensor would grant an exclusive license to that third party.
