Non-Renewal of the Term. (a) Upon termination of Executive’s employment as a result of non-renewal of the Initial Term or any Renewal Term by the Company, Executive will be entitled to the Accrued Amounts payable in accordance with Section 5.1(a). (b) Upon termination of Executive’s employment as a result of non-renewal of the Initial Term or any Renewal Term by the Executive, Executive will be entitled to the Accrued Amounts payable in accordance with Section 5.1(a).

Non-Renewal of the Term. In the event the Company elects not to extend the Term pursuant to Section 2, unless the Executive’s employment is earlier terminated pursuant to paragraphs (a), (b), (c) or (d) of this Section 7, the expiration of the Term and Executive’s termination of employment hereunder shall be deemed to occur on the close of business on the day immediately preceding the next scheduled Extension Date and the Executive shall be entitled to receive the benefits and payments set forth under Section 7(b)(i)(A)-(D) above. Following such termination of Executive’s employment under this Section 7(e), except as set forth in this Section 7(e) and Section 18, Executive shall have no further rights to any compensation or any other benefits under this Agreement.
Non-Renewal of the Term. The Term and the Executive’s employment will automatically terminate at the end of the then-current Term if either party elects not to renew the Term in accordance with Section 1. Upon the Executive’s termination of employment at the end of the then-current Term, the Executive shall be entitled only to the Accrued Benefits and any Prior Year Bonus. Following any such termination of the Executive’s employment, except as set forth in this Section 4(d), the Executive shall have no further rights to any compensation or any other benefits under this Agreement.
Non-Renewal of the Term. This Employment Agreement and Employee’s employment with the Company hereunder shall terminate immediately and automatically upon the expiration of the Term following notice of non-renewal of the Term by either the Company or Employee in accordance with Section 1(a). In such event, the Company shall pay Employee: (i) the Accrued Amounts, which shall be paid at the times set forth in Section 4(a)(2); (ii) a Pro-Rated Bonus (as defined in Section 4(b)(2)), which shall be paid at the same time the bonus for that fiscal year is paid to active employees (or such later date as may be required by Section 4(j)), but not later than two and one-half (2 ½) months after the end of such fiscal year; (iii) an annuity policy which will provide Employee with payments of one thousand dollars ($1,000) per month from the date Employee attains age 65 until her death, which annuity policy shall be delivered to Employee on the sixtieth (60th) day following the Termination Date (or such later date as may be required by Section 4(j)); and (iv) the Annual Salary to the same extent to which Employee would have been entitled if Employee had continued working for the Company for an additional twelve (12)-month period. The payment provided for in clause (iv) above shall be made in a lump sum payment on the sixtieth (60th) day following the Termination Date (or such later date as may be required by Section 4(j)); provided, that (1) the payments provided for in this Section 4(h) other than those provided for in clause (i) shall be contingent upon Employee’s continued compliance with Sections 5 and 6 hereof (except that Employee shall not be deemed for purposes of this Section 4(h) not to have been in compliance with Section 6 solely as a result of an unintentional and immaterial disclosure of confidential information) and Employee shall be obligated to repay such payments in their entirety upon determination by the Board that Employee has failed to comply as such with Sections 5 or 6 hereof; and (2) the payments and benefits provided for in this Section 4(h) other than those provided for in clause (i) shall be subject to Employee’s execution of the Release referred to in Section 24 hereof within the time period set forth therein and Employee’s non-revocation of such Release within any applicable revocation period.
Non-Renewal of the Term. In the event of the Company’s decision not to renew or extend the Term pursuant to Section 2(a) above or enter into a new employment agreement with Executive (provided that Executive engages in good faith discussions and is willing and able to extend the Term and continue his employment), Executive’s employment will end on the last day of the Term, and in connection therewith, Executive shall be entitled to the same payments and benefits as provided in Section 8(d) hereof for a termination by the Company without Cause, subject to the same conditions on payment and benefits as described in Section 8(d) hereof, provided that for purposes of this Section 8(g) only, the Severance Term shall mean the twelve (12) month period following Executive’s termination as a result of the lapse of the Term in accordance with this Section 8(g). Following such termination of Executive’s employment as a result of the non-renewal of the Term, except as set forth in this Section 8(g), Executive shall have no further rights to any compensation or any other benefits under this Agreement. For the avoidance of doubt, Executive’s sole and exclusive remedy upon a termination of employment upon expiration of the Term shall be receipt of the Severance Benefits.

(b) Upon termination of Executive’s employment as a result of non-renewal of the Term by the Executive, Executive will be entitled to the Accrued Amounts payable in accordance with Section 5.1(a).

UCF DHRL housing agreements shall not be re-offered to residents who are unwilling to adhere to the basic elements of good housekeeping, and community living. UCF DHRL housing agreements shall not be re-offered to residents who disregard or violate rules, regulations, or policies established for governing UCF DHRL residential facilities. Finally, housing agreements shall not be re-offered to residents who have outstanding charges from UCF DHRL.

  • Modification, Extension and Renewal of Options The Board or a duly appointed committee thereof, may modify, extend or renew this Option or accept the surrender thereof (to the extent not theretofore exercised) and authorize the granting of a new option in substitution therefore (to the extent not theretofore exercised), subject at all times to the Code and applicable securities laws. In the event (and only in the event) that, Tenant fails to deliver an Option Notice to Landlord within such thirty (30) days, Tenant shall be considered to have elected not to extend the Term of this Lease and thereafter, Tenant shall have no further right to extend the Term of this Lease. References in this Lease to the "Term" shall include the initial Term of fifteen (15) years and shall, in addition, include the First Extended Term and the Second Extended Term, if applicable.

  • Renewal Option This Contract may be renewed under the same terms and conditions, subject to the approval of the Commissioner of the Department of Administration and the State Budget Director in compliance with IC § 5-22-17-4.
