Non-Solicitation of Customers and Prospective Customers. Employee will not, during the period of his employment and for a period ending two years after the termination of his employment for any reason, directly or indirectly, solicit the business of any customer for the purpose of, or with the intention of, selling or providing to such customer any product or service in competition with any product or service sold or provided by Employer during the 12 months immediately preceding the termination of Employee’s employment with Employer; provided that the provisions contained in this Section 13 shall apply only to a customer who is or was during the 12 months immediately preceding the termination of Employee’s employment with Employer either (a) a customer of Employer, with whom Employee had material contact and/or whom Employee serviced in his role as an employee of Employer or (b) a prospective customer of Employer, with whom Employee had material contact and/or whom he serviced in his role as an employee of Employer.
Non-Solicitation of Customers and Prospective Customers. Employee will not, during the period of his employment and for a period ending one year after the termination of his employment for any reason, directly or indirectly, solicit the business of any customer for the purpose of, or with the intention of, selling or providing to such customer any product or service in competition with any product or service sold or provided by Employer during the 12 months immediately preceding the termination of Employee’s employment with Employer.
Non-Solicitation of Customers and Prospective Customers. Executive agrees that during Executive’s employment by the Company, other than in the proper performance of Executive’s employment duties for the Company, and for the Non-Solicitation Period (defined above), Executive shall not directly or indirectly, on behalf of Executive or any other person, company, or entity, alone or in concert with others, solicit, persuade, induce, encourage, divert, or attempt to solicit, persuade, induce, encourage, or divert, or otherwise accept business from, any Customer or Prospective Customer of the Company with whom Executive had “material contact” for the purpose of providing products or services that are competitive with those offered by the Company in the Company’s Business. For purposes of this Agreement, Executive is deemed to have had “material contact” with any Customer (defined below) or Prospective Customer (defined below) of the Company if, in the twenty-four (24) months prior to the cessation of Executive’s employment with the Company, the Customer or Prospective Customer is one: (i) with whom or which Executive dealt on behalf of the Company; (ii) whose dealings with the Company were coordinated or supervised by Executive; (iii) about whom Executive obtained Confidential Information and Trade Secrets in the ordinary course of business as a result of Executive’s employment with the Company; or (iv) who receives products or services authorized by the Company, the sale or provision of which resulted in compensation, commissions, or earnings for Executive within the twenty-four (24) months prior to the cessation of Executive’s employment.
Non-Solicitation of Customers and Prospective Customers. Without the consent in writing of the Board, Executive will not, during Executive’s employment with the Company and (i) for a period of 18 months after a termination of employment by the Company without Cause, including for non-renewal of the Employment Term, or by Executive for Good Reason or (ii) for a period of 12 months after a termination of employment by Executive without Good Reason, acting alone or in conjunction with others, either directly or indirectly, solicit, encourage or induce, or attempt to solicit, encourage or induce, any customer or prospective customer of the Company or any of its subsidiaries to curtail or cancel its business with the Company or any of its subsidiaries.
Non-Solicitation of Customers and Prospective Customers. Employee will not, during the period of his employment for any reason, directly or indirectly, solicit the business of any customer of Employer for the purpose of, or with the intention of, selling or providing to such customer any product or service in competition with any product or service sold or provided by Employer. For a period of one year after the termination of Employee’s employment, Employee will not, directly or indirectly, use any of the Employer’s Trade Secrets in order to induce any of the Employer’s customers to cease doing business with Employer or to induce them to become the customer of any other person or entity.
Non-Solicitation of Customers and Prospective Customers. Employee will not, during the period of his employment for any reason, directly or indirectly, solicit the business of any customer of Sysorex or SGS for the purpose of, or with the intention of, selling or providing to such customer any product or service in competition with any product or service sold or provided by Sysorex or SGS. For a period of one year after the termination of Employee’s employment, Employee will not, directly or indirectly, use any of Sysorex or SGS’s Trade Secrets in order to induce any of Sysorex or SGS’s customers to cease doing business with Sysorex or SGS or to induce them to become the customer of any other person or entity.
Non-Solicitation of Customers and Prospective Customers. (a) During the term of Employee's employment, Employee will not, directly or indirectly, engage in or become interested in (as an individual, partner, stockholder, director, officer, principal, agent, employee, trustee, lender of money or in any other relation or capacity whatsoever, except that Employee may acquire and hold shares of an entity not to exceed two percent (2%) of the outstanding shares of stock of the entity if such shares of stock are publicly traded in the over-the-counter market or listed on a national securities exchange) any business that solicits, or attempts to solicit, either directly, indirectly or by assisting others, any business from any customer or actively sought prospective customer of Company with whom Employee has or had material contact as a customer or an actively sought prospective customer of Company during his employment or engagement with IBS or Company, for the purpose of providing products or services competitive with Company's Business, transferring a customer's account from the Company to the business in which Employee is engaged or interested in, or otherwise discontinuing the customer's business relationship with the Company.
(b) During the term of Employee's employment, and for a period of one (1) year thereafter, Employee will not solicit, attempt to solicit or assist anyone else in soliciting any customer or actively sought prospective customer of Company with whom Employee had material contact during his employment or engagement with IBS or Company as a customer or an actively sought prospective customer of Company, for the purpose of providing products or services competitive with the Company's Business, transferring a customer's account from Company to Employee or another person, or otherwise discontinuing the customer's business relationship with Company.
(c) For purposes of this section, “solicit” means to solicit, approach, communicate with, call upon or contact by mail, telephone, in person or by any other means, directly, indirectly or by assisting others.
Non-Solicitation of Customers and Prospective Customers. Executive will not, during the period of her employment and for a period ending two (2) years after the termination of her employment for any reason, directly or indirectly, solicit the business of any customer for the purpose of, or with the intention of, selling or providing to such customer any product or service in competition with any product or service sold or provided by the Company during the twelve (12) months immediately preceding the termination of this Agreement with the Company.
Non-Solicitation of Customers and Prospective Customers. From the date hereof and for the period ending on the later of: (i) two (2) years from and after the Effective Time or, (ii) two (2) years from and after the date on which the Undersigned is no longer a director or employee of FENB, CUNB or the Surviving Bank (the “Applicable Period”), the Undersigned shall not, directly or indirectly, without the prior written consent of CUNB or the Surviving Bank, on behalf of any Financial Institution, use any Trade Secret to solicit or aid in the solicitation of Customers or Prospective Customer, supplier, or distributor of FENB, CUNB and/or the Surviving Bank as of the date of said solicitation to terminate such Person’s relationships with FENB, CUNB and/or the Surviving Bank or to obtain Financial Services from a Person or entity other than FENB, CUNB and/or the Surviving Bank.
Non-Solicitation of Customers and Prospective Customers. (a) Employee agrees that during Employee’s employment and for the one (1) year period following Employee’s termination from employment with the Company (regardless of reason), Employee will not solicit, attempt to obtain business from, accept business from, service, provide consulting services to or contact any Customer or Prospective Customer of the Company or the Affiliates regarding the purchase, lease or license of a product or service that is the same as, similar to, or in competition with those products and/or services made, rendered, performed, offered or under development by the Company or the Affiliates, except for the benefit of the Company.
(b) “Customer,” as used herein, shall mean any person or entity that procured any products or services from the Company or the Affiliates during the one (1) year preceding Employee’s termination from employment.
