Notice of Depletion. Within seven (7) days of when the accumulated amount of Fees and Reimbursable Expenses reaches eighty percent (80%) of the maximum not-to-exceed contract amount(s), PSP shall deliver written notice thereof to TFC. Nothing herein shall be construed to require TFC to increase the approved maximum not-to-exceed contract amount(s) established pursuant to any Assignment hereunder.

TFC is an agency of the State of Texas and materials and services utilized with respect to the Projects in the Program may be exempted from state and local taxes. PMF is responsible for taking full advantage of all tax exemptions applicable to the Program and/or the Projects. TFC will deduct from the applications for payment and from the request for final payment any taxes paid TFC Contract 00-000-000 - Amendment No. 1 for materials or services that were entitled to tax exemption.
Notice of Depletion. The Parties hereto irrevocably instruct the Disbursement Agent to deliver written notice to the Trustee, Hyatt Gaming, the Construction Escrow Agent, the Independent Construction Consultant and the Company that no funds remain in any one or more of the Construction Disbursement Accounts or Completion Reserve Accounts on the first date upon which the balance in such Account(s) is reduced to zero.
