Notification of Practical Completion. The Organisation must provide the Commonwealth with: 1. Certification of practical completion (clause 4.9) by a suitably qualified and independent person; 2. a copy of the Certificate of Occupancy (clause 4.9(b)); 3. Certificates of Currency for insurances (clause 21.1(b) and Item 9.2 of the Schedule); 4. internal and external site photographs; and 5. the fit-out and occupation timeline. Report of Completion of Works The Organisation must provide the Commonwealth with a Construction Phase Final Report which must include a comprehensive Report on the expenditure of the Funds for the purposes of the Project and how the Objectives and outcomes of the Project have been supported by the completion of the Works (clause 11.5 ). Within three months after the date that the Organisation achieves Practical Completion of the Works Services and Implementation Assessment Reports The Organisation must provide the Commonwealth with a report indicating: 1. the number of general practitioners, nurses allied health professionals, specialists and/or students on clinical placements; 2. the services delivered to meet local health needs including GP attendance services, preventive health care activities and chronic disease management services; 3. the extended hours of service; and 4. progress against each of the Program Objectives. Quarterly in the first 12 months of operation and as requested by the Commonwealth from time to time Financial Acquittals and Report The Organisation must provide the Commonwealth with: 1. a Financial Acquittal (clause 11.6); and 2. a Financial Report (clause 11.6) for the preceding financial year. Within 60 Business Days of the end of each financial year in which the Organisation has received, expended or retained Funds pursuant to this Agreement, or within 60 Business Days of the earlier termination of this Agreement

At the conclusion of construction, (i) Tenant shall cause the Architect and Contractor (A) to update the Approved Working Drawings as necessary to reflect all changes made to the Approved Working Drawings during the course of construction, (B) to certify to the best of their knowledge that the “record-set” of as-built drawings are true and correct, which certification shall survive the expiration or termination of this Lease, and (C) to deliver to Landlord two (2) sets of copies of such record set of drawings within ninety (90) days following issuance of a certificate of occupancy for the Premises, and (ii) Tenant shall deliver to Landlord a copy of all warranties, guaranties, and operating manuals and information relating to the improvements, equipment, and systems in the Premises.

  • Notification of Breach / Compliance Reports The Adviser shall notify the Trust immediately upon detection of (i) any material failure to manage any Fund in accordance with its investment objectives and policies or any applicable law; or (ii) any material breach of any of the Funds’ or the Adviser’s policies, guidelines or procedures. In addition, the Adviser shall provide a quarterly report regarding each Fund’s compliance with its investment objectives and policies, applicable law, including, but not limited to the 1940 Act and Subchapter M of the Code, as applicable, and the Fund’s policies, guidelines or procedures as applicable to the Adviser’s obligations under this Agreement. The Adviser agrees to correct any such failure promptly and to take any action that the Board may reasonably request in connection with any such breach. Upon request, the Adviser shall also provide the officers of the Trust with supporting certifications in connection with such certifications of Fund financial statements and disclosure controls pursuant to the Xxxxxxxx-Xxxxx Act. The Adviser will promptly notify the Trust in the event (i) the Adviser is served or otherwise receives notice of any action, suit, proceeding, inquiry or investigation, at law or in equity, before or by any court, public board, or body, involving the affairs of the Trust (excluding class action suits in which a Fund is a member of the plaintiff class by reason of the Fund’s ownership of shares in the defendant) or the compliance by the Adviser with the federal or state securities laws or (ii) an actual change in control of the Adviser resulting in an “assignment” (as defined in the 0000 Xxx) has occurred or is otherwise proposed to occur.

  • Construction Completion The related Construction shall have been completed substantially in accordance with the related Plans and Specifications, the related Deed and all Applicable Laws, and such Leased Property shall be ready for occupancy and operation. All fixtures, equipment and other property contemplated under the Plans and Specifications to be incorporated into or installed in such Leased Property shall have been substantially incorporated or installed, free and clear of all Liens except for Permitted Liens.
