Obtained results. Since its initial promulgation stage, academics, lawyers and the community of enterprises expected Competition Law in general and provisions regulating the acts of competition restriction agreement to be the important legal basis to ensure equal business environment, the effective operation of a market economy. So far, after more than six years from the taking effect of Competition Law on July 1st 2005, it can be said that the promulgation and enforcement of the Law in Vietnam has achieved some initial results. a) Promulgation of general competition law (1) Competition Law of 2004; (2) Decree 116/2005/ND-CP of the Government on providing detailed regulations for implementation of a number of articles of the Law on competition; (3) Decree 120/2005/ND-CP of the Government on dealing with breaches in competition sector. If Competition Law provides general provisions in terms of principle concerning competition restriction agreements, including: - Provision on definition of competition restriction agreements (Article 8 of Competition Law); - Provision on prohibitions (Article 9 of Competition Law); - Provision on exemptions (Article 10 of Competition Law); - Provisions on settlements (Article 117-121 of Competition Law); - Provisions on order and procedures for the investigation and handling of cases (Chapter V of Competition Law), The Decrees guiding more detailed implementation of prescriptions of the Law help agencies to have clearer basis when considering competition restriction agreement cases. Specifically, Decree 116/2005/ND-CP explains in more details about prohibitions, exemptions, order and procedures for investigating and handling cases of competition restriction agreement, while Decree 120/2005/ND-CP provides the forms and levels of sanctions for violations of provisions on competition restriction agreements (Articles 10-17).

The pro forma financial statements included in the Registration Statement, the Time of Sale Disclosure Package and the Final Prospectus comply as to form in all material respects with the application requirements of Regulation S-X under the Exchange Act.
