OCA. OCA represents, warrants and covenants to Contractor that:
OCA. A nurse who otherwise qualifies under Article hereunder shall receive eleven (11) paid holidays as designated in the Appendix of Local Provisions. Effective April the number of paid holidays hereunder shall be increased to twelve, with the nation of the twelfth holiday to be determined by i at i on. In the event that the Government declares an additional holiday (such as Heritage Day) during the term of this Agreement, such holiday will be substituted for one of the above-mentioned holidays. The designation of the additional holiday for an existing holiday shall be subject to local determination and such designation shall not add to the present number of holidays. In order to qualify for ay for a holiday, a nurse shall complete her full shift on each of the working days immediately preceding and following the holiday concerned unless excused by the Hospital or the nurse was absent due to:
OCA. The Office of Contract Administration of the City and County of San Francisco. ORDER An Authorization for the procurement of Products or Services which has been executed and certified in accordance with applicable City requirements, and the negotiated terms and specifications that govern the Products or Services to be delivered pursuant to that Order. All Orders by City Departments are subject to the prior approval of DT and Purchasing.
OCA. Merger Sub is a corporation duly organized, validly existing and in good standing under the laws of the State of Delaware, and has the corporate power and authority to own, lease and operate its assets and properties and to carry on its business as it is currently being conducted. OCA Merger Sub was formed solely for the purpose of engaging in the transactions contemplated in this Agreement and has not engaged in any activities other than in connection with those transactions. OCA Merger Sub has not incurred any material obligations or liabilities or entered into any material agreements or arrangements with any Person except for this Agreement and as contemplated hereby. True, accurate and complete copies of OCA Merger Sub's certificate of incorporation, bylaws or other governing documents, and all amendments thereto, in each case as in effect on the date hereof, have heretofore been delivered or made available to OrthAlliance.
OCA certain banks and other financial institutions, the Agent, the Documentation Agent and the Syndication Agent are parties to a Credit Agreement, dated as of October 8, 1998 (the "Credit Agreement"), providing for the availability of certain credit facilities to OCA and certain other borrowers from time to time parties thereto upon the terms and conditions set forth therein. Capitalized terms used herein without definition shall have the meanings given to them in the Credit Agreement.
OCA assignments shall not exceed thirty consecutive working days nor shall a series of OCA to any one vacant position exceed thirty calendar days without approval by the Personnel Director. OCA will not be made to avoid filling a position with a limited or permanent appointment.
OCA. BEST Rules and Guidelines as currently enacted, including the COVID Plan & Show Guidelines, and any additional rules and guidelines that may be added or amended during the 2020-2021 show season. I further understand that no spectators are permitted to attend OCA BEST shows, and at-risk family members are strongly encouraged not to attend.
OCA acknowledges that the scope of the restrictions in this Agreement on the use and disclosure of Confidential Information is reasonably related to the protection of the Company's proprietary interests in Confidential Information, and that any unauthorized disclosure or use of Confidential Information would cause the Company immediate and irreparable injury or loss. Accordingly, OCA acknowledges and agrees that, notwithstanding Section 9.1 hereof, in the event of a breach or threatened breach by OCA of any provision of this Article 4, the Company shall be entitled, at its option and pursuant to Section 9.2 hereof, to preliminary and permanent injunctive relief restraining OCA from the disclosure or unauthorized use of any Confidential Information, in addition to actual damages in any action at law.
