Orthodontist Hiring. The Practice Group shall recommend to the Manager the number of orthodontists and other staff required for the efficient operation of Practice Group's orthodontic practice. Practice Group shall be responsible for identifying any new or additional Practice Orthodontists, provided, however, that no Practice Orthodontist shall be hired by Practice Group without the approval of both the Practice Group and Manager. The decision to terminate the employment of a Practice Orthodontist by the Practice Group shall be in Practice Group's sole discretion. The hiring and firing of staff personnel shall be the responsibility of Manager; provided that no staff personnel shall be hired or fired without the prior consent of Practice Group, which consent shall not be withheld unreasonably. No Practice Orthodontist or other staff member, whether or not an employee of the Practice Group, shall be transferred to another office, clinic or facility of Manager, without Practice Group's prior written consent, which consent shall not be withheld unreasonably. Manager agrees that it will not discuss hiring or firing personnel matters with any Practice Orthodontist or other staff member without the prior consent of Practice Group, which consent shall not be withheld unreasonably.

  • Medical Services Medical and health care services provided to a Patient, including, but not limited to, medical and health care services provided to a Patient and performed by Borrower which are covered by a policy of insurance issued by an Insurer, and includes physician services, nurse and therapist services, dental services, hospital services, skilled nursing facility services, comprehensive outpatient rehabilitation services, home health care services, residential and out-patient behavioral healthcare services, and medicine or health care equipment provided by Borrower to a Patient for a necessary or specifically requested valid and proper medical or health purpose.

  • Medical Examination The Executive shall be reimbursed by the Company for the reasonable cost of one annual medical examination upon presentation of an expense statement.

  • Training State Street agrees to provide training, at a designated State Street training facility or at the Designated Locations, to the Fund’s personnel in connection with the use of the System on the Designated Configuration.   • Medical Director (a) The HMO must have a qualified individual to serve as the Medical Director for its HHSC HMO Program(s).   • Collaboration Management Promptly after the Effective Date, each Party will appoint a person who will oversee day-to-day contact between the Parties for all matters related to the management of the Collaboration Activities in between meetings of the JSC and will have such other responsibilities as the Parties may agree in writing after the Effective Date.   • Employee Cooperation Following termination of Employee’s employment, Employee shall cooperate fully with the Company in all matters including, but not limited to, advising the Company of all pending work on behalf of the Company and the orderly transfer of work to other employees or representatives of the Company. Employee shall also cooperate in the defense of any action brought by any third party against the Company that relates in any way to Employee’s acts or omissions while employed by the Company.

  • Medical Inquiries Promptly after the Registrations have been transferred to Buyer, Buyer shall assume all responsibility for all correspondence and communication with physicians and other health care professionals and customers in the applicable Territory relating to the CV Products. After the Closing Date, Buyer and Seller shall work together towards an orderly transition of the responsibility for all correspondence and communication with health care professionals and customers in the applicable Territory relating to the CV Products. Seller shall continue to be responsible for such correspondence and communication under the direction of Buyer until the Registrations have been transferred to Buyer. Buyer shall keep such records and make such reports as shall be reasonably necessary to document such communications in compliance with all applicable regulatory requirements. After transfer of responsibility to Buyer pursuant to this Article 10, Seller shall, except in the case of medical emergency, refer all questions relating to the CV Products raised by health care professionals and customers to Buyer for its response.

  • Virus Management Transfer Agent shall maintain a malware protection program designed to deter malware infections, detect the presence of malware within the Transfer Agent environment.
