Ownership of Clinical Data. Subject to the provisions of Section 2.3, all preclinical, clinical, technical and other information relative to the clinical program, data, analyses, studies or similar information (including, without limitation, all Intellectual Property) generated or developed by or on behalf of the parties after the date hereof as a result of or in connection with the Product Development Program and the clinical trials conducted by [***] hereunder and thereunder (collectively, the “RELIANT Clinical Data”), shall be owned exclusively by [***].

Ownership of Clinical Data. To the extent permitted by Applicable Laws and Regulations, all Clinical Data generated or arising from any Territory-specific Clinical Trial conducted exclusively by or on behalf of I-MAB in the Territory (“Co-Owned Clinical Data”) shall be jointly owned by the Parties. Subject to any restrictions imposed by Applicable Laws and Regulations, each Party hereby assigns, transfers and conveys (and to the extent a present assignment is prohibited by Applicable Laws and Regulations, shall assign) to the other Party one- half (1/2) of its (and its Affiliates’ and Sublicensees’) right, title and interest in and to such Co- Owned Clinical Data so that I-MAB and MacroGenics will be equal joint owners of such Clinical Data. I-MAB shall provide a copy of all such Clinical Data to MacroGenics promptly following generation thereof, but in any event, on a schedule reasonably requested by MacroGenics. All Clinical Data generated or arising from any MacroGenics Global Clinical Trial shall be owned solely and exclusively by MacroGenics. In addition, if the Parties are not legally permitted, according to Applicable Laws and Regulations, to jointly own any Clinical Data that would otherwise constitute Co-Owned Clinical Data under this Section 3.7, then MacroGenics shall be sole and exclusive owner of such Clinical Data. I-MAB hereby assigns, transfers and conveys (and to the extent a present assignment is prohibited by Applicable Laws and Regulations, shall assign) to MacroGenics all of I-MAB’s (and its Affiliates’ and Sublicensees’) right, title and interest in and to all Clinical Data for which MacroGenics shall be the sole owner pursuant to this Section 3.7.
Ownership of Clinical Data. As between Ideaya and Amgen, (a) Ideaya shall own the particular Clinical Data to the extent that it relates to the Ideaya Compound but does not relate to the Amgen Compound or the Study (“Ideaya Clinical Data”), and Amgen shall own the particular Clinical Data to the extent that it relates to Amgen Compound but does not relate to the Ideaya Compound or the Study (“Amgen Clinical Data”), and (b) both Parties shall jointly own any and all Clinical Data that is not Amgen Clinical Data or the Ideaya Clinical Data (“Combination Clinical Data”), provided that each Party shall not use or disclose such Combination Clinical Data except as permitted under this Agreement. Each Party shall, and does hereby, assign, and shall cause its Affiliates to so assign, to the other Party, without additional compensation, such right, title and interest in and to any Clinical Data as is necessary to fully effect the foregoing ownership, and agrees to execute all instruments as may be reasonably necessary to effect same. All Clinical Data owned by one Party shall be the Confidential Information of such Party and all Combination Clinical Data shall be considered Confidential Information of each Party subject to the restrictions set forth in Article 9 (Confidentiality).

  • Ownership of Materials All reports, documents or other materials developed or received by Consultant or any other person engaged directly by Consultant to perform the services required hereunder shall be and remain the property of City without restriction or limitation upon their use.

  • Ownership of Technology As between the Parties, each Party shall own and retain all right, title, and interest in and to any and all Inventions and Information that are conceived, discovered, developed, or otherwise made solely by or on behalf of such Party (or its Affiliates or Sublicensees) under or in connection with this Agreement, whether or not patented or patentable, and any and all Patents and other intellectual property rights with respect thereto.

Should the Company request it, the Executive agrees to sign any document that the Company may reasonably require to establish ownership in any Invention.

  • Ownership of Data All Data transmitted to the Operator pursuant to the Service Agreement is and will continue to be the property of and under the control of the LEA. The Operator further acknowledges and agrees that all copies of such Data transmitted to the Operator, including any modifications or additions or any portion thereof from any source, are subject to the provisions of this DPA in the same manner as the original Data. The Parties agree that as between them, all rights, including all intellectual property rights in and to Data contemplated per the Service Agreement shall remain the exclusive property of the LEA.

  • Ownership of Work Product All right, title, and interest in the Work Product, including all Intellectual Property Rights therein, is exclusively owned by System Agency. Grantee and Xxxxxxx’s employees will have no rights in or ownership of the Work Product or any other property of System Agency. Any and all Work Product that is copyrightable under United States copyright law is deemed to be “work made for hire” owned by System Agency, as provided by Title 17 of the United States Code. To the extent that Work Product does not qualify as a “work made for hire” under applicable federal law, Grantee hereby irrevocably assigns and transfers to System Agency, its successors and assigns, the entire right, title, and interest in and to the Work Product, including any and all Intellectual Property Rights embodied therein or associated therewith, and in and to all works based upon, derived from, or incorporating the Work Product, and in and to all income, royalties, damages, claims and payments now or hereafter due or payable with respect thereto, and in and to all causes of action, either in law or in equity for past, present or future infringement based on the copyrights, and in and to all rights corresponding to the foregoing. Xxxxxxx agrees to execute all papers and to perform such other property rights as System Agency may deem necessary to secure for System Agency or its designee the rights herein assigned. In the event that Grantee has any rights in and to the Work Product that cannot be assigned to System Agency, Grantee hereby grants to System Agency an exclusive, worldwide, royalty-free, transferable, irrevocable, and perpetual license, with the right to sublicense, to reproduce, distribute, modify, create derivative works of, publicly perform and publicly display, make, have made, use, sell and offer for sale the Work Product and any products developed by practicing such rights.

  • Ownership of Customer Data As between Oracle and Customer, all title and intellectual property rights in and to the Customer Data is owned exclusively by Customer. Customer acknowledges and agrees that in connection with the provision of the Services, Oracle may store and maintain Customer Data for a period of time consistent with Oracle’s standard business processes for the Services. Following expiration or termination of the Agreement or a Customer account, if applicable, Oracle may deactivate the applicable Customer account(s) and delete any data therein. Customer grants Oracle the right to host, use, process, display and transmit Customer Data to provide the Services pursuant to and in accordance with this Agreement and the applicable Estimate/Order Form or SOW. Customer has sole responsibility for the accuracy, quality, integrity, legality, reliability, and appropriateness of Customer Data, and for obtaining all rights related to Customer Data required by Oracle to perform the Services.

  • Ownership of Software The Parties acknowledge that any software provided by the Authority is and remains the property of the Authority.

  • Ownership of Software and Related Material All computer programs, magnetic tapes, written procedures, and similar items purchased and/or developed and used by Price Associates in performance of this Agreement shall be the property of Price Associates and will not become the property of the Funds.
