Ownership of Reports. Client will retain ownership of the content of reports and other materials that include Client Content produced and delivered by ADP as a part of the Services, provided that ADP will be the owner of the format of such reports. To the extent any such reports or other materials incorporate any ADP proprietary information, ADP (i) retains sole ownership of such proprietary information and (ii) provides the Client a fully paid up, irrevocable, perpetual, royalty-free license to access and use same for its Internal Business Purposes without the right to create derivative works (other than derivative works to be used solely for its Internal Business Purposes) or to further distribute any of the foregoing rights outside the Client Group.

Ownership of Reports. DRAWINGS, SPECIFICATIONS, ETC. All reports, drawings, designs, specifications, notebooks, tracings, photographs, negatives, findings, recommendations, data and memoranda of every description relating to the services described herein and in completion thereof, shall be the property of the City and shall be confidential. The Consultant shall not disclose such information and procedures without the written approval of the City, which approval shall not be unreasonably withheld.
Ownership of Reports. With the exception of patient medical records and any scholarly publications, which shall be owned by University, all CRFs and any other reports and data generated as a direct result of the conduct of the Study by University in accordance with the Protocol (the “Study Data”) are the property of Company and may be used by Company for any purpose whatsoever consistent with the approved informed consent documents and applicable law and regulation.
