Participation in the Financing Plan. As more particularly described in the Financing Plan, LANDOWNER shall participate in the establishment of a method for financing of required Infrastructure and public facilities through a combination of land transfers, dedications and contributions, fees, assessment districts, community facilities districts and other sources, so that the land within the Financing Plan Area pays for its share of the cost of such Infrastructure and facilities. The plan also recognizes that there is a regional cost associated with certain portions of Infrastructure and facilities, and that that share will ultimately have to be paid from other sources, even though developers within the area, including LANDOWNER, acknowledge that they may have to participate in funding regional costs on a fair share basis. LANDOWNER shall participate in the Financing Plan, as made applicable to the development of the Property, and shall faithfully and timely comply with each and every provision thereof, including but not limited to assessments, special taxes, development fees and exactions set forth therein. Without limiting the foregoing, applications for conditional use permits, subdivision maps or other land use entitlements and building permits may be made subject to LANDOWNER's participation in and compliance with the Financing Plan. Failure to so participate shall be an event of default to which the default provisions of this Agreement and the Procedural Ordinance shall apply. For purposes of this Agreement "participate" and "participation" shall mean payment of all monies required by virtue of the Financing Plan, and performance of all obligations imposed thereby.

Participation in the Financing Plan. As more particularly described in the Financing Plan, LANDOWNER shall participate in the establishment of the Public Financing Mechanisms for Public Facilities specified in the Financing Plan, the Project Entitlements and as made applicable to the Development of the Property, and shall faithfully and timely comply with each and every provision thereof, including without limitation, approval and payment of the assessments, special taxes, and other fees and exactions as set forth therein. In addition, LANDOWNER shall pay the Development Fee as identified and adopted pursuant to the nexus study that is to be prepared and amended from time to time to implement the Financing Plan when due (unless otherwise waived or credited per the terms of the Funding Agreement). Subject to the limitation set out in Section 4.5.1, the amount of the Development Fees may be increased after the Effective Date (i) annually to account for construction cost inflation in accordance with the Engineering News Record Construction Cost Index as referenced in the Financing Plan or as specified in the nexus study if CITY adopts a different inflation index in the future, and (ii) to include the costs of Public Facilities that are not specified in the Financing Plan based on a nexus study which identifies the fair share allocation.

  • Financing Plan The Company shall have a Financing Plan prepared which shall include such provisions as the Company may determine consistent with its commercial requirements and Good Industry Practice. The Company shall be responsible for raising all of the financing necessary to implement the Financing Plan for the Project.

  • Pre-financing Pre-financing is intended to provide the beneficiary with a float. Where required by the provisions of Article I.4 on pre-financing, the beneficiary shall furnish a financial guarantee from a bank or an approved financial institution established in one of the Member States of the European Union. The guarantor shall stand as first call guarantor and shall not require the Commission to have recourse against the principal debtor (the beneficiary). The financial guarantee shall remain in force until final payments by the Commission match the proportion of the total grant accounted for by pre-financing. The Commission undertakes to release the guarantee within 30 days following that date.

  • Participation Rights No HIG Stockholder may make a Transfer of Series C Preferred Stock pursuant to clause (a)(iv) of Section 2.1 unless such HIG Stockholder complies with the provisions of this Section 2.3. As a condition to any Transfer by the Transferring Stockholder, the Transferring Stockholder must obtain the agreement of the prospective transferee(s) to the participation of all Participating Stockholders in any contemplated sale and will not transfer any of its Securities to the prospective transferee(s) if the prospective transferee(s) declines to allow the participation of the Participating Stockholders on the terms specified herein.
