Party Status. Additional governmental entities may be added to this Agreement as a Party if approved by two-thirds (2/3) of the Directors then in office. However, most Large Water Systems are prohibited from becoming a Party. Large Water Systems that are allowed to become a Party include, and are limited to, Xxxxxxx County and any entity organized by Xxxxxxx County to facilitate the provision of Services by Small Water Systems. A Person added as a Party may enter into an agreement with the Authority regarding interest, right, or title in or to any assets or equity of the Authority. Such Person shall be subject to terms and conditions the Board, in its sole discretion, may determine.
Party Status. For purposes of this Agreement, HOA shall be considered solely as a non- exclusive licensee and not as an agent or subsidiary of the City; no possessory interest or right to own, lease, occupy or control the Public Trail Improvements or the City Public Trails are granted herein in any way.

Party Status. 15. The Contractor is not an employee of the Owner but is working in his/her capacity as an independent contractor. The Contractor shall hold Owner harmless and thereby indemnify Owner for any claims including but not limited to liability insurance, worker's compensation and withholding of tax for Contractor's employees.

Party Status. The parties are independent contractors. No agency or similar relationship shall be created by this Agreement. Neither party will have any authority to make or alter any obligation on behalf of the other. There are no third party beneficiaries to this Agreement. Each party will be responsible for the acts and omissions of its employees, independent contractors, agents and subcontractors.

This Agreement is neither intended to create, nor shall it be construed as creating, (i) a joint venture, partnership or other form of business association between the Parties, (ii) an obligation to buy or sell products using or incorporating the Proprietary Information, (iii) an implied or express license grant from either Party to the other, (iv) any obligation to continue discussions or negotiations with respect to any potential agreement between the Parties or (v) an agreement to enter into any agreement.
