Patent Awards. If Licensor initiates and prosecutes any -------------- such an action under this Section 10, all legal expense (including court costs and attorneys' fees) shall be for Licensor's account and Licensor shall be entitled to all of the amounts awarded by way of judgment, settlement or compromise after deduction of legal expenses. Similarly, if Licensee initiates and prosecutes such an action, all legal expenses (including court costs and attorneys' fees) shall be for Licensee's account and Licensee shall be entitled to all amounts awarded by way of judgment, settlement, or compromise and no royalties shall be owed Licensor on said sums. Any nonmonetary awards shall inure to the benefit of the Licensor.

Patent Awards. Cash awards up to $500.00 per person, with a maximum up to $1,500.00 per patent, may be made to Employees who are awarded patents, which benefit the objectives of JSA and DOE. These awards shall be paid as a direct contract expense and require approval of DOE Patent Counsel. Total annual patent awards to any individual Employee exceeding $2,500 must be approved by the Contracting Officer. Upon request, a report describing the award, individual’s name, and amount of award will be provided to the Contracting Officer.
Patent Awards. To be eligible for a patent award, an inventor must be an employee of ABIOMED, Inc., or one of its majority-owned subsidiaries, at the time of the acceptance of the invention disclosure, filing of the patent application or issuance of the patent. Members of ABIOMED’s executive management team are excluded.

  • Other Equity Awards Except as set forth in Sections 8(c)(ii) and 8(c)(iii), performance share awards and all other equity awards granted to the Executive by the Company which remain outstanding immediately prior to the date of termination of the Executive’s employment, as provided in Section 7(b), shall vest and be settled in accordance with their terms. The Company shall have no further obligations to the Executive as a result of termination of employment described in this Section 8(c) except as set forth in Section 12.

Such Other Stock-Based Awards may involve the transfer of actual Shares to Participants, or payment in cash or otherwise of amounts based on the value of Shares and may include Awards designed to comply with or take advantage of the applicable local laws of jurisdictions other than the United States.
