Payment of Milestones. Servier shall make the milestone payments required by Section 9.4.1 in accordance with Section 9.6. If an event described in a clause in Section 9.4.1 occurs before or concurrently with another event described in a preceding clause in Section 9.4.1, Servier shall also pay the milestone payment described in such earlier clause when the milestone payment described in such later clause is paid. By way of example, if, during March 2015, ***, Servier shall pay MacroGenics the milestone payments set forth in both Sections 9.4.1(a) and (b).
Payment of Milestones. Each Milestone Payment payable under this Section 7.2 shall be non-refundable and, except as provided in Section 7.8 and Section 7.14, non-creditable. The Parties acknowledge and agree that Milestone Payments do not constitute royalties within the meaning of U.S. Bankruptcy Code §365(n) or relate to licenses of intellectual property hereunder.
Payment of Milestones. All milestone payments shall be due and payable within *** after the event for which the payment is due.
Payment of Milestones. OSI shall provide AVEO with prompt written notice of the achievement of the milestone events set forth in Sections 6.4(b), 6.4(c), 6.4(d), 6.4(e) and 6.4(f) and shall make the non-refundable, non-creditable milestone payments required by Sections 6.4(a), 6.4(b), 6.4(c), 6.4(d), 6.4(e), and 6.4(f) within thirty (30) days after the earliest date on which the corresponding milestone is achieved, and within thirty (30) days after AVEO has submitted an invoice to OSI. OSI shall make the non-refundable, non-creditable milestone payments required by Section 6.4(g) achieved prior to the Expansion Date in conjunction with the payment of the Initial Expansion Payment and, thereafter, within thirty (30) days after the earliest date on which the corresponding milestone in Section 6.4(g) is achieved.
Payment of Milestones. BI shall provide written notice to MacroGenics of the achievement of any milestone event set forth in Section *** after the occurrence of such milestone event and shall make the corresponding milestone payment within thirty (30) days after receipt of an Invoice therefor.
Payment of Milestones. Within 30 days after each Milestone Event is achieved by Merck or any Related Party, Merck will:
(a) provide a written notice to Xxxxx specifying the Milestone Event and stating that it has been achieved; and
(b) pay the Milestone Payment for that Milestone Event.
Payment of Milestones. (1) Xxxxx 0-Xxxxx 0 xxxxxxxxxx xxxxx xx payable in equal quarterly installments over expected term of study, with the first installment payment due within [**] Business Days of the milestone triggering event. PTC may by written notice to the Trust elect to defer payment of the Phase 1 milestone until after completion of the first Phase 1 study, in which case PTC shall pay such Phase 1 milestone (including an additional 0.05x due for the deferral option) within [**] year of completion of the Phase 1 study. PTC may by written notice to the Trust elect to defer payment of the Phase 3 milestone until after completion of the first Phase 3 study to be completed in either the USA or the EAA (whichever is the sooner) required for Regulatory Approval (the “Trigger Phase 3”), in which case PTC shall pay such Phase 3 milestone (including additional 1x due for the deferral option) within [**] year of completion of the Trigger Phase 3 study. For clarity, if deferred, the payment of Phase 3 milestone is due regardless of outcome of Phase 3 trial(s); provided, that the Trust agrees to accept alternative consideration, such as equity, in the event a cash payment after a Phase 3 trial failure would place PTC in financial distress.
(2) For clarity, milestones are payable only for the first Product to reach the applicable milestone.
(3) The Regulatory Approval milestone shall be payable on the [**]; provided, however, that the Trust will consider in good faith payment of the Regulatory Approval milestone in installments if PTC revenue from all products at the time of Regulatory Approval is less than $[**].
Payment of Milestones. Upon the achievement of each milestone, MERCK shall notify AVEO in writing within thirty (30) days of such achievement, and shall make the appropriate milestone payment within thirty (30) days of such achievement. A milestone payment shall be payable only upon the initial achievement of such milestone and no amounts shall be due hereunder for subsequent or repeated achievement of such milestone for the same Non-MAP Collaboration Target or MAP Collaboration Target, in the case of Section 5.3.1(1), or for the same Product, in the case of Section 5.3.1(2); provided, however, that, with respect to each Additional Dual Target, a milestone payment shall be payable upon the initial achievement of such milestone for both a chemical entity and a Biological inhibitor or modulator of such Target. Upon the achievement of a particular milestone for a Non-MAP Collaboration Target, MAP Collaboration Target or Product, as applicable, all preceding milestones for such Non-MAP Collaboration Target, MAP Collaboration Target or Product, as applicable, shall be deemed achieved to the extent not previously achieved and shall be paid contemporaneously therewith; provided, however, that the milestones payable under Sections 5.3.1(1)(a) and (b) shall under no condition be payable for any MAP Nominated Target or MAP Collaboration Target.
Payment of Milestones. Milestone payments made under this section shall be non-refundable and non-creditable against any other payments due under this Agreement. All such payments shall be made by wire transfer pursuant to the instructions set forth on Schedule 9.
Payment of Milestones. All milestone payments shall be made by Biotest within [***] ([***]) days of the occurrence of the corresponding milestone event.
