Payment of Obligations; Removal of Liens. The Authority will pay (a) all Debts and obligations of the Authority in accordance with the terms thereof, (b) all amounts payable by it hereunder and under the Related Documents in accordance with the terms hereof or thereof and (c) all assessments or other governmental charges as the same respectively become due, all taxes, assessments (general or special) and governmental charges of any kind whatsoever that may be at any time lawfully assessed or levied against or with respect to any of its or their property or any interest thereon and promptly discharge or cause to be discharged all Liens (other than Permitted Liens), fees and charges on such property; provided that the Authority may withhold payment of sums described under subpart (c) where (i) the validity or amount thereof is being contested in good faith by appropriate proceedings, (ii) the Authority has set aside on its books adequate reserves with respect thereto in accordance with GAAP and (iii) the failure to make payment pending such contest could not result in a Material Adverse Effect. Notwithstanding the foregoing, the Authority will pay and discharge any and all lawful claims for labor, materials or supplies which, if unpaid, might become a Lien on the Pledged Revenues, or on any funds in the hands of the Authority or the Trustee pledged to pay the Parity Debt prior or superior to the Lien of the Parity Debt or which might impair the security of the Parity Debt.

The Borrower will pay or cause to be paid (a) all amounts payable hereunder and under the other Related Documents to which it is a party according to the terms hereof and thereof and (b) all assessments or other governmental charges as the same respectively become due, all taxes, assessments (general or special) and governmental charges of any kind whatsoever that may be at any time lawfully assessed or levied against or with respect to any of the Collateral or any interest thereon and promptly discharge or cause to be discharged all Liens, fees and charges on the Collateral, other than Liens created or permitted under the Related Documents; provided that the Borrower and the Company may withhold payment of sums described under subpart (b) where (i) the validity or amount thereof is being contested in good faith by appropriate proceedings, (ii) the Borrower has set aside on its books adequate reserves with respect thereto in accordance with GAAP and (iii) the failure to make payment pending such contest could not reasonably be expected to result in a Material Adverse Effect.
Payment of Obligations; Removal of Liens. (a) The City will (a) pay and discharge, at or before maturity, all its material obligations and liabilities of the System in accordance with the terms thereof, including, without limitation, tax liabilities, except where the same may be contested in good faith by appropriate proceedings, and will maintain, in accordance with GAAP appropriate reserves for the accrual of any of the same and (b) promptly discharge or cause to be discharged all Liens, encumbrances and charges on property and assets of the System, other than, in each case, those diligently contested by the City in good faith.
Payment of Obligations; Removal of Liens. The Agency shall duly and punctually pay or cause to be paid the Payment Obligations and the other amounts due hereunder and under the Notes and the other Loan Documents, on the dates, at the places and in the manner provided in or determined in accordance with this Agreement and the Notes according to the true intent and meaning hereof. The Agency will at all times faithfully perform and observe any and all covenants, undertakings and provisions contained in this Agreement or arising in connection with any obligation secured by Gross Revenues. The Agency shall pay (a) all indebtedness and obligations of the Agency in accordance with the terms thereof and (b) all assessments or other governmental charges as the same respectively become due, all taxes, assessments (general or special) and governmental charges of any kind whatsoever that may be at any time lawfully assessed or levied against or with respect to any portion of the Collateral or any interest thereon and promptly discharge or cause to be discharged all liens, encumbrances and charges on such property and assets. The Agency shall include in each of the annual operating budgets for the Wastewater System all amounts reasonably anticipated to be necessary to make payments due to the Bank hereunder or under the Notes or the other Loan Documents.

The City shall pay all indebtedness and obligations of the City in accordance with the terms thereof, including as the same respectively become due, all taxes, charges, assessments (general or special) and governmental charges of any kind whatsoever, that may be at any time lawfully assessed or levied against or with respect to the Net Revenues and promptly discharge or cause to be discharged all liens, encumbrances and charges on Net Revenues.

The Issuer shall pay (a) all indebtedness and obligations of the Issuer in accordance with the terms thereof and (b) all amounts payable by it and them hereunder and under the other Related Documents according to the terms hereof and thereof and (c) all assessments or other governmental charges as the same respectively become due, all taxes, assessments (general or special) and governmental charges of any kind whatsoever that may be at any time lawfully assessed or levied against or with respect to it or any of its property, including without limitation the assets comprising the Water/Wastewater System, or any interest thereon and promptly discharge or cause to be discharged all Liens, encumbrances and charges on such property and assets.
