Obligations of the Agency. 3.1 The Agency shall appoint one or more key contact persons for KUF (each, an "Experience Coordinator"). The Agency covenants to: (i) provide KUF with the contact information for each Agency Experience Coordinator; and (ii) provide prompt written notice to KUF of any and all changes to Agency Experience Coordinators, and/or Agency Experience Coordinators' contact information to facilitate communication between KUF and the respective Agencies and to allow KUF to promptly contact Agency Experience Coordinators to disseminate Event Tickets.
3.2 The Agency Experience Coordinator(s) are responsible for carrying out the Agency's responsibilities under this Agreement, which include but are not limited to: (i) attending training as prescribed by KUF from time to time; and (ii) offering Event Tickets to potential Recipients in a clear and timely fashion.
3.3 The Agency agrees that it will not sell or exchange the Event Tickets under any circumstances for any form of compensation, including but not limited to, any monetary compensation, goods, or services, and that it will not distribute or provide the Event Tickets to individuals who are not Recipients. Without limiting the generality of the foregoing, the Agency agrees that it shall not, under any circumstances, be allowed to use Event Tickets: (i) directly or indirectly for Agency fundraising purposes; (ii) to compensate the staff of the Agency; and (iii) for any other internal purpose.
3.4 The Agency agrees that it shall only distribute the Event Tickets to Recipients and shall not distribute the Event Tickets to staff or volunteers unless those staff or volunteers are acting as chaperone to the Recipients, and that it shall take all steps reasonably necessary to ensure that the Recipients that received the Event Tickets use the Event Tickets. If Recipients are unable to use any Event Tickets, Agency Ticket Contact(s) are required to notify KUF and to include a reasonable explanation.
3.5 Event Tickets may be distributed electronically, available for pick-up from KUF, or at will call at the venue.
3.6 The Agency agrees that it shall make all reasonable efforts to ensure Event Tickets are allocated and distributed to Recipients who are available to use the tickets, and if it is unable to identify any such Recipients or has Event Tickets returned, that the Event Tickets must be returned to KUF (even if under 24 hours' notice). The Agency acknowledges that KUF is not open on the weekends and that efforts to return...
Obligations of the Agency. The Agency's obligation is providing services as well as selecting the service provider while taking into consideration the rights and interests of Travelers in accordance with the traditions of the tourism industry. The Agency will fulfil all the above mentioned obligations as described, except in circumstances beyond its control. .
Obligations of the Agency. (a) The Agency agrees:
(i) to provide Institution Staff and Practicum Students with reasonable access to Facilities for the Practice Education experience and to provide supplies and equipment as reasonably required to support the Practice Education experiences; and
(ii) to provide such onsite supervision of Students engaged in the Practice Education experience at the Facilities, as may be agreed upon with the Institution;
(iii) to make available to the Practicum Student, and to the Institution Staff, the Health and Safety Standards, any applicable intellectual property policy, and such other of the Agency’s rules, regulations and policies that apply to the Practice Education;
(iv) to consult with the Institution in its evaluation of the Practice Education when reasonably requested to do so;
(b) Notwithstanding any other provision of this Agreement, the Agency’s obligations under this Agreement will be subject to the availability of resources, its operational and administrative needs. Without limiting the foregoing, the Agency may, at its discretion, alter, change, re- schedule, substitute or terminate any Practice Education experience in order to meet its operational or administrative needs, in the event of employment or labour disputes or disruptions, to comply with Applicable Laws, in the event of emergencies or on the basis of the health or safety issues.
Obligations of the Agency. The Agency shall perform the following obligations: Pay the Grant in accordance with Article 6. Monitor the progress of the Project throughout the Funding Period and reserves the right to carry out Evaluation Visits, after giving reasonable notice; Request reasonable access for its authorized representatives, after giving the Grantee notice, to project sites where activities in support of the Project will be undertaken and records which show how grant funding for the Project has been used. Perform such other obligations as are necessary to assist or facilitate the implementation of the Project within the confines of this contract.
Obligations of the Agency. The Agency agrees and understands that it will receive a one-time transfer of confidential information from DHCS regarding the temporary or payment suspension of DMC providers. The Agency will receive and maintain this information in its capacity as a DMC contractor and will not use the information in any other capacity.
Obligations of the Agency. 1. Subject to available resources, the Agency shall support the ARCAL programmes and projects established in accordance with this Agreement by means of its technical co-operation and other programmes. The principles, rules and procedures governing the provision of technical co-operation by the Agency and its other programmes shall apply, as appropriate, to any such Agency assistance.
2. In order to achieve the objectives of this Agreement and, on the basis of the recommendations made by the "BAR" and the "ATCB", the Agency shall perform the following secretariat functions:
i. Co-ordinate the activities between the States Parties;
ii. Allocate the contributions made by the States Parties and external donors to ARCAL amongst the ARCAL projects and the States Parties participating in these projects;
iii. Adopt such measures as may be necessary for the implementation of the ARCAL projects;
iv. Prepare each year the Plan of Activities for the implementation of the ARCAL projects;
v. Provide administrative support for the convening, preparation and organization of the "BAR" and "ATCB" meetings and any others deemed necessary;
vi. Assist in organizing, financing and conducting the meetings of experts included in the ARCAL Plan of Activities;
vii. Compile and distribute the reports received from States Parties;
viii. Prepare annually a report on the implementation of the ARCAL programmes and projects, and submit it to the "ATCB" and "BAR";
ix. Provide administrative support for monitoring the ARCAL projects.
3. With the consent of the "BAR", the Agency may invite States not party to the Agreement, other international bodies, non-governmental organizations and the private sector to contribute, by providing financial resources and/or appropriate contributions in kind, to the development of ARCAL activities.
4. The Agency, in consultation with the "BAR", shall administer these contributions in accordance with its Financial Regulations and with other applicable rules. The Agency shall keep separate records and accounts for each contribution.
Obligations of the Agency. 5.1.1 Subject to and on the terms and conditions of this Agreement, the Agency shall at its cost and expense undertake to fulfil all the requirements of Scope of the Project, as per Article 2, and observe, fulfil, comply with and perform all its obligations set out in this Agreement or arising hereunder.
5.1.2 The Agency shall comply with all Applicable Laws and Applicable Permits (including renewals as required) in the performance of its obligations under this Agreement.
Obligations of the Agency. PAYMENT
(a) In consideration of the obligations undertaken by Contractor, the Agency agrees to pay Contractor in accordance with the fee schedule attached as Exhibit A- in an amount not to exceed
(b) Payment amount will be based on a monthly invoice, which shall reflect the services provided by the Contractor and as approved by the Agency employee authorized to approve billing(s) as set forth above. Payment shall be made forty-five (45) days after receipt of goods, services, or invoice, whichever is latest. Payment may be delayed, adjusted or withheld, where a deficiency is noted in goods, services, or invoices received. The XXXXXX CENTER retains the right to offset payments for prior invoices that were paid and later found to be deficient in any manner.
Obligations of the Agency. PAYMENT
(a) In consideration of the obligations undertaken by Contractor, the Agency agrees to pay Contractor in accordance with the fee schedule attached as Exhibit A in an amount not to exceed ___________________________ for the Agency fiscal year 2018.
(b) Payment amount will be based on a monthly invoice, which shall reflect a detailed description of services provided by the Contractor and as approved by the Agency employee authorized to approve billing(s) as set forth above. Payment shall be made thirty (30) days after receipt of goods, services, or invoice, whichever is latest. Payment may be delayed, adjusted or withheld, where a deficiency is noted in goods, services, or invoices received. The XXXXXX CENTER retains the right to offset payments for prior invoices that were paid and later found to be deficient in any manner.
Obligations of the Agency. 1. Agency shall actively promote the Faculty and its study programmes. Agency shall search for potential applicants with excellent learning potential.
2. Agency shall acquaint the concerned applicants with the study programmes carried out at the Faculty, with their plans of studies, the rules of studies and conditions for entrance procedure.
3. Agency shall ensure that the conccmed applicants submit all the necessary documents required by the Faculty for the entrance procedure: a submitted online application, certified copies of secondary school reports including the final (school leaving) certificate, copies of medical certificates ofvaccination against Hepatitis B.
4. Agency shall participate in organising the entrance procedure by A) ensuring that the candidates appear for the entrance examinations at the Faculty, orby B) organising the entrance procedure in the candidates' country or any other place agreed by the contracting parties.
5. If the entrance examination is to bc held in the place indicated under B), Agency undertakcs to take all administrative actions neccssary to ensure the progress of the entrance examination, to cover all the expenses associated with its realization, as well as all costs of accommodation for one rcpresentative of the Faculty, who shall attend the entrance examinations.
6. The applicants' costs connected with the entrance examinations, including travel expenses and other costs (accommodation, etc.) connected with their travel to the entrance examination and back, shall be settled directly betwecn Agency and thc applicants.
7. Agency shall ensure due payment of ruition fees by the admined srudents to the Faculty's account. Payment is a prerequisite for the enrolment on studies at the Faculty.
8. Agency shall ensure that the students admitted will appear at the Faculty not Jater than on the day of the beginning of tuition in the respective academic year.
9. Agency is obliged to process all persona! data acquired for the purpose of this contract according to Regulation no. 2016/679 of the European Parliament and of the Council, on the protection of the natural persons with regard to the proccssing of persona) data and the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation). If the Agency violates this provision, the Agency is responsible for any damages that might be incurred by the Faculty as a result of such violation.
