PEG Channel Capacity. Grantee shall make available for the City’s use Public, Educational, and Government (“PEG”) Access Channels as specified in this section. (A) Grantee shall make available, at its sole cost, a total of eight (8) PEG analog Channels of 6 megahertz bandwidth each to be allocated at the City’s discretion. (B) Additional PEG Channel Capacity. In additional to the channels described in Subsection 6.2(A), Grantee shall make available, at its sole cost, up to eight (8) digital Public, Educational and Government Access Channels. Allocation of all additional digital PEG Channels shall be at the sole discretion of the City. Individual digital Channels shall be made available upon six (6) months prior written notice from the City and shall be allocated bandwidth comparable to commercial digital Video Programming Channels provided to Subscribers. (C) During the term of this Franchise, Grantee shall make available no fewer than a total of sixteen (16) PEG channels in accordance with Subsections 6.2A and 6.2B. (D) Recognizing that there may be a transition period during the term of this Franchise when all Programming is converted to a digital format, Grantee shall ensure that, subject to applicable law, all Subscribers are able to view PEG Programming at all times during such transition. (E) Additional Channels provided pursuant to this section shall not in any way relieve Grantee of its programming category requirements within any of the categories set forth in Section 5.

PEG Channel Capacity. Grantee shall make available for the Member Cities’ use Public, Educational and Governmental (“PEG”) Access Channels. Any Channels provided pursuant to this Section shall not in any way relieve Grantee of its programming category requirements within any of the categories set forth in Section 7. (a) Dedicated Channels. Within one hundred eighty (180) Days from the Effective Date, subject to Section 19.7 (Force Majeure) the Grantee shall provide at its sole cost thirteen (13) Channels (the “Access Channels”) to be used for Public, Educational or Government programming on all of the Basic Service tiers. The Grantor has the sole discretion to designate the use of each Access Channel. Grantee shall provide and maintain a technically reliable path for Upstream and Downstream transmission of the Access Channels at no cost to the Grantor, which will in no way degrade the technical quality of the Access Channels, from an agreed upon Demarcation point to Grantee’s headend, on which all Access Channels shall be transported for distribution on Grantee’s subscriber network at the following locations: (1) NWCT; (2) Educational Service Center for ISD 281 and ISD 284; and (3) Educational Service Center for ISD 279. The Access Channels shall be delivered without degradation to Subscribers in the technical format (e.g. HD or SD) as delivered by the Grantor and any designated Access provider to Grantee at each Demarcation point at all of the PEG programming following locations: (1) NWCT; (2) Educational Service Center for ISD 281 and ISD 284; (3) Educational Service Center for ISD 279; and (4) any additional PEG points of origination added pursuant to Section 8.13.

  • Financial Capacity (a) Taking into account the Financing Commitment, such Purchaser has, and at the Closing will have, sufficient resources to pay, in cash any and all amounts necessary for it to consummate the transactions contemplated hereby at the Closing, including payment of its Pro Rata Share of the Seller Purchase Price and the Company Purchase Price, and in the case of Purchaser A only, the Additional Company Purchase Price and the Election Purchase Price (to the extent payable hereunder) and all the fees and expenses expressly required to be paid by such Purchaser hereunder without any restrictions to transfer such funds at Closing to the Seller and the Company, as and to the extent required to be paid pursuant to, and subject to the terms of, this Agreement. The Sponsor affiliated with such Purchaser has, and at the Closing will have, sufficient resources to meet its obligations under its Commitment Letter as they become due. (b) As of the date of this Agreement, such Purchaser has delivered to the Seller a true, correct and complete copy of the Commitment Letter provided by its affiliated Sponsor, dated as of the date hereof. Such Commitment Letter has not been amended or modified, and the respective commitments contained in such Commitment Letter have not been withdrawn, terminated or rescinded. Such Commitment Letter (i) is in full force and effect, (ii) constitutes the legal, valid and binding obligation of such Purchaser and the Sponsor party thereto, and (iii) is enforceable by the Seller and the Company against such Purchaser and the Sponsor party thereto, in accordance with its terms, subject to bankruptcy, insolvency, reorganization and other Legal Requirements of general applicability relating to or affecting creditors’ rights and to general equity principles. There are no side letters or other Contracts related to the funding or investing, as applicable, of the applicable Financing Commitment other than such Commitment Letter. There are no conditions precedent to the consummation of such Financing Commitment other than those set forth in such Commitment Letter. As of the date of this Agreement, the Sponsor affiliated with such Purchaser is not subject to bankruptcy proceedings. (c) Notwithstanding anything to the contrary contained herein, in no event shall this Section 4.4 be deemed breached (and no condition set forth in Section 6.3 shall be deemed to have failed as a result of any actual or alleged breach of this Section 4.4), if (notwithstanding any actual or alleged breach), such Purchaser is willing and able to consummate its obligations at the Closing if and when it is otherwise required to do so under the terms and conditions of this Agreement.

  • Financial Capability At the Closing, the Investor shall have available funds necessary to consummate the Closing on the terms and conditions contemplated by this Agreement.

  • OPERATIONAL CAPABILITY Contractor represents and warrants, as previously certified in Contractor’s Bidder’s Certification, that Contractor has the operational and financial capability to perform the Contract.

  • Contract Capacity The electric power producing capability of the Generating Facility which is committed to Edison.

  • Legal Capacity All parties to the Mortgage Note and the Mortgage had legal capacity to enter into the Mortgage Loan and to execute and deliver the Mortgage Note and the Mortgage, and the Mortgage Note and the Mortgage have been duly and properly executed by such parties. The Mortgagor is a natural person;

  • Power and Capacity The Shareholder has the power, authority and capacity to enter into this Agreement and to consummate the transactions contemplated hereby. This Agreement constitutes the Shareholder’s valid, legal and binding obligation and is enforceable against the Shareholder in accordance with its terms, subject, however, as to enforcement, to bankruptcy, insolvency, fraudulent transfer, moratorium and similar laws of general applicability relating to or affecting creditors’ rights;

  • Maximum Capacity The Sick Leave Bank shall accumulate unused Bank days from year to year to a maximum capacity which shall not exceed double the number of eligible employees as defined in the above Section C, Eligibility for Membership.

  • INDEPENDENT CAPACITY The employees or agents of each party who are engaged in the performance of this Agreement shall continue to be employees or agents of that party and shall not be considered for any purpose to be employees or agents of the other party.

  • Local Circuit Switching Capability, including Tandem Switching Capability 4.2.1 Local circuit switching capability is defined as: (A) line-side facilities, which include, but are not limited to, the connection between a loop termination at a main distribution frame and a switch line card; (B) trunk-side facilities, which include, but are not limited to, the connection between trunk termination at a trunk-side cross-connect panel and a switch trunk card; (C) switching provided by remote switching modules; and (D) all features, functions, and capabilities of the switch, which include, but are not limited to: (1) the basic switching function of connecting lines to lines, line to trunks, trunks to lines, and trunks to trunks, as well as the same basic capabilities made available to BellSouth’s customers, such as a telephone number, white page listings, and dial tone; and (2) all other features that the switch is capable of providing, including but not limited to customer calling, customer local area signaling service features, and Centrex, as well as any technically feasible customized routing functions provided by the switch. Any features that are not currently available but are technically feasible through the switch can be requested through the BFR/NBR process. 4.2.2 Notwithstanding BellSouth’s general duty to unbundle local circuit switching, BellSouth shall not be required to unbundle local circuit switching for Louisville Telephone when Louisville Telephone serves an end-user with four (4) or more voice-grade (DS-0) equivalents or lines served by BellSouth in one of the following MSAs: Atlanta, GA; Miami, FL; Orlando, FL; Ft. Lauderdale, FL; Charlotte-Gastonia-Rock Hill, NC; Greensboro-Winston Salem-High Point, NC; Nashville, TN; and New Orleans, LA, and BellSouth has provided non- discriminatory cost based access to the Enhanced Extended Link (EEL) throughout Density Zone 1 as determined by NECA Tariff No. 4 as in effect on January 1, 1999. 4.2.3 In the event that Louisville Telephone orders local circuit switching for an end user with four (4) or more DS0 equivalent lines within Density Zone 1 in an MSA listed above, BellSouth shall charge Louisville Telephone the market based rates in Exhibit B for use of the local circuit switching functionality for the affected facilities.
