Performance under Other Agreements. Notwithstanding anything ---------------------------------- to the contrary contained herein, neither party shall be charged under this Agreement for any obligations that are specifically required to be performed under the Reorganization Agreement or any other Ancillary Agreement and any such other obligations shall be performed and charged for (if applicable) in accordance with the terms of the Reorganization Agreement or such other Ancillary Agreement.
Performance under Other Agreements. Borrower shall duly perform and observe in all material respects all of (a) the covenants, agreements and conditions on its part to be performed and observed under each of the Loan Documents and the Leases, and (b) the covenants, agreements and conditions on its part to be performed and observed under each of the Project Documents. Borrower shall diligently enforce its rights and remedies under the Agency Documents, the REA and the Anchor Leases in a commercially reasonable manner.
Performance under Other Agreements. Agent shall duly perform and observe in all material respects all of the covenants, agreements and conditions on its part to be performed and observed hereunder and under each other Operative Document to which it is a party, except to the extent that Agent's obligation in respect of such covenant, agreement or condition may be subject to a Permitted Contest.
Performance under Other Agreements. If there is a default under any other agreement to which Borrower is a party with Bank or any third party or parties resulting in a right by such third party or parties, whether or not exercised, to accelerate the maturity of any Indebtedness."
Performance under Other Agreements. Notwithstanding anything to the contrary contained herein, Enova shall not be charged under this Agreement for any services that are specifically required to be performed under the Separation and Distribution Agreement or any other Ancillary Agreement and any such other services shall be performed and charged for in accordance with the terms of the applicable Ancillary Agreement.
Performance under Other Agreements. Lessee shall duly perform and observe all of the covenants, agreements and conditions on its part to be performed and observed hereunder and shall duly perform and observe all of the covenants, agreements and conditions on its part which it is obligated to perform or observe under the Ground Lease and all other agreements related to any Property.
Performance under Other Agreements. The Borrower shall duly perform and observe all of the covenants, agreements and conditions on its part to be performed and observed hereunder and under the Notes and the Collateral Security Documents to which it is a party, and shall duly perform and observe in all material respects all of the covenants, agreements and conditions on its part to be performed and observed under the other Basic Documents to which it is a party. The Borrower shall diligently enforce all of its rights under each Assigned Contract except to the extent that the failure to enforce such rights could not reasonably be expected to (i) have a material adverse effect on the business, operations, property, condition (financial or otherwise) or prospects of the Borrower or (ii) materially adversely affect the Borrower's ability to perform its obligations under the Basic Documents to which it is a party. The Borrower shall have the right to terminate any Assigned Contract (other than the Project Contracts and the Capital Contribution Agreement) except to the extent that the exercise of such right could reasonably be expected to (i) have a material adverse effect on the business, operations, properties, condition (financial or otherwise) or prospects of the Borrower or (ii) materially adversely affect the Borrower's ability to perform its obligations under the Basic Documents to which it is a party.
Performance under Other Agreements. Agent shall duly perform and ---------------------------------- observe all of the covenants, agreements and conditions on its part to be performed and observed hereunder and shall duly perform and observe all of the covenants, agreements and conditions on its part which it is obligated to perform or observe under the Construction Documents and all other agreements related to each Unit.
Performance under Other Agreements. The Pledgor shall duly perform and observe all of the covenants, agreements and conditions on its part to be performed and observed hereunder and under the Loan Agreement and, unless the Security Agent and GE Capital otherwise consents in writing, duly perform and observe in all respects all of the covenants, agreements and conditions on its part to be performed and observed under the other Transaction Documents to which it is a party.
Performance under Other Agreements. Agent shall duly perform and observe all of the covenants, agreements and conditions on its part which it is obligated to perform or observe under the Project Contracts, the Construction Documents, the Facility Support Agreement and all other agreements related to the Project. Agent shall perform and observe all of the terms, provisions, conditions and agreements of the Ground Lease on Owner's part as lessee thereunder to be performed and observed (including, without limitation, payment of all rent, additional rent and other amounts payable by Owner as lessee under such Ground Lease) to the end that all things shall be done which are necessary to keep unimpaired the rights of Owner under the Ground Lease.
