Common use of Period of Secondment Clause in Contracts

Period of Secondment. Hess will second the Seconded Employees to the General Partner starting on the Effective Date and continuing, during the period (and only during the period) that the Seconded Employees are performing functions for the General Partner, until the earliest of: (a) the end of the term of this Agreement; (b) such end date set forth for any Seconded Employees as may be mutually agreed in writing by the Parties (as applicable, the “End Date”); (c) a withdrawal, departure, resignation or termination of such Seconded Employees under Section 2.3; and (d) a termination of Secondment of such Seconded Employees under Section 2.4. The period of time that any Seconded Employee is provided by Hess to the General Partner is referred to in this Agreement as the “Period of Secondment.” At the end of the Period of Secondment for any Seconded Employee, such Seconded Employee will no longer be subject to the direction by the General Partner of the Seconded Employee’s day-to-day activities. Notwithstanding anything herein to the contrary, the Parties acknowledge that the Seconded Employees may also perform functions for Hess in connection with its own operations and that the Parties intend that the Seconded Employees shall be seconded to the General Partner only during those times that the Seconded Employees are performing functions for the General Partner hereunder.

Period of Secondment. Hess Admin will second the Seconded Employees second, or cause its applicable Affiliate (such affiliate, a “Seconding Affiliate”) to second, to the General Partner starting the Provided Personnel on the Effective Date and continuing, during the period (and only during the period) that the Seconded Employees Provided Personnel are performing functions services for the General Partner, until the earliest earlier of: (a) the end of the term of this Agreement; (b) such end date set forth for any Seconded Employees as may be is mutually agreed in writing by Admin and the Parties (as applicable, the “End Date”)General Partner; (c) a withdrawal, departure, resignation or termination of such Seconded Employees Provided Personnel under Section 2.3; andor (d) a termination of Secondment of such Seconded Employees Provided Personnel under Section 2.4. The period of time that any Seconded Employee Provided Personnel is provided by Hess Admin to the General Partner is referred to in this Agreement as the “Period of Secondment.” At the end of the Period of Secondment for any Seconded EmployeeProvided Personnel, such Seconded Employee Provided Personnel will no longer be subject to the supervision, control or direction by of the General Partner. Admin and the General Partner acknowledge that certain of the Seconded Employee’s day-to-day activities. Notwithstanding anything herein to the contrary, the Parties acknowledge that the Seconded Employees Provided Personnel may also perform functions for Hess provide services to Admin and its Affiliates in connection with its own their respective operations unrelated to the General Partner (“Shared Provided Personnel”), and that Admin and the Parties General Partner intend that the Seconded Employees such Shared Provided Personnel shall only be seconded to the General Partner only during those times that the Seconded Employees Shared Provided Personnel are performing functions services for the General Partner hereunder.

Hess ETRN will second second, or cause to be seconded, the Seconded Employees to the General Partner applicable Owner starting on the Effective Date and continuing, during the period (and only during the period) that the Seconded Employees are performing functions Services for the General Partnersuch Owner, until the earliest earlier of: (a) the end of the term of this Agreement; (b) such end date set forth for any Seconded Employees as may be mutually agreed in writing by ETRN and the Parties applicable Owner (as applicable, the “End Date”); (c) a withdrawal, departure, resignation or termination of such Seconded Employees under Section 2.33.3; andor (d) a termination of Secondment of such Seconded Employees under Section 2.43.4. The period of time that any Seconded Employee is provided by Hess ETRN to the General Partner an Owner is referred to in this Agreement as the “Period of Secondment.” At the end of the Period of Secondment for any Seconded Employee, such Seconded Employee will no longer be subject to the direction by the General Partner such Owner of the Seconded Employee’s day-to-day activities. Hess EQT will second second, or cause to be seconded, the Seconded Employees to the General Partner applicable Owner starting on the Effective Date and continuing, during the period (and only during the period) that the Seconded Employees are performing functions Services for the General Partnersuch Owner, until the earliest earlier of: (a) the end of the term of this Agreement; (b) such end date set forth for any Seconded Employees as may be mutually agreed in writing by EQT and the Parties applicable Owner (as applicable, the “End Date”); (c) a withdrawal, departure, resignation or termination of such Seconded Employees under Section 2.33.3; andor (d) a termination of Secondment of such Seconded Employees under Section 2.43.4. Hess will second The Operators have seconded the Seconded Employees to the General Partner GP starting on the Effective Date ”Service Date” that is set forth next to each of the Assets listed in Exhibit A and continuing, during the period (and only during the period) that the Seconded Employees are performing functions services for the General PartnerGP, until the earliest of: (a) the end of the term of this Agreement; (b) such end date set forth for any Seconded Employees as may be mutually agreed in writing by the Parties (as applicable, the “End Date”); (c) a withdrawal, departure, resignation or termination of such Seconded Employees under Section 2.3; and (d) a termination of Secondment of such Seconded Employees under Section 2.4. The period of time that any Seconded Employee is provided by Hess the Employing Operator to the General Partner GP is referred to in this Agreement as the “Period of Secondment.” At the end of the Period of Secondment for any Seconded Employee, such Seconded Employee will no longer be subject to the direction by the General Partner GP of the Seconded Employee’s day-to-day activities. Hess The Operator will second the Seconded Employees to the General Partner EQMG starting on the Effective Date and continuing, during the period (and only during the period) that the Seconded Employees are performing functions Services for the General PartnerEQMG, until the earliest earlier of: (a) the end of the term of this Agreement; (b) such end date set forth for any Seconded Employees as may be mutually agreed in writing by the Parties Operator and EQMG (as applicable, the “End Date”); (c) a withdrawal, departure, resignation or termination of such Seconded Employees under Section 2.33.5; andor (d) a termination of Secondment of such Seconded Employees under Section 2.43.6. The period of time that any Seconded Employee is provided by Hess the Operator to the General Partner EQMG is referred to in this Agreement as the “Period of Secondment.” At the end of the Period of Secondment for any Seconded Employee, such Seconded Employee will no longer be subject to the direction by the General Partner EQMG of the Seconded Employee’s day-to-day activities.
