Periodic Adjustment. Seller shall regularly monitor, evaluate, and adjust, as appropriate, its Security Plan in light of any relevant changes in applicable law and regulations, technology, the sensitivity of the Raytheon Data, internal or external threats to the Raytheon Data, requests from Raytheon, and Seller’s own changing business arrangements, such as mergers and acquisitions, alliances and joint ventures, outsourcing arrangements, and changes to information systems.
Periodic Adjustment. The royalty percentage may be reviewed periodically by the Parties to ensure that it continues to reflect the arm’s length value of the licenses and rights granted to Licensee under the terms of this Agreement.
Periodic Adjustment. Beginning thirty (30) months after the Commencement Date, and every thirty (30) months thereafter, the then-payable Base Monthly Rent shall be increased by seven and 50/100 percent (7.50%).
Periodic Adjustment. The rate of the royalty set forth in Section 8.1 of this Article shall be reviewed annually by the parties no later than 45 days following the end of each year to ensure that it continues to reflect the arm’s-length value of the rights granted to Licensee under the terms of this Agreement. If any change to the royalty rate is determined by the mutual agreement of the parties to be appropriate for this purpose, then an appropriate amendment to this Agreement shall be executed by the parties.
Periodic Adjustment. The rate of the royalty set forth ----------- ------------------- in Section 3.1 of this Article III may be reviewed periodically by the parties to provide that it continues to reflect the arm's-length value of the rights granted to Licensee under the terms of this Agreement. If any change to the royalty rate is determined by the mutual agreement of the parties to be appropriate for this purpose, then an appropriate amendment to this Agreement shall be executed by the parties, as provided in Section 9.4 of this Agreement.
Periodic Adjustment. At the end of each calendar quarter, TDFS may evaluate the performance of the Program, including credit losses, the cost of funds, and overall Program profitability, and after discussion of the evaluation with Merchant, if there is an issue for which a mutually acceptable solution cannot be reached, then in that event TDFS may terminate or modify one or more of the applicable promotions or other Program features, or adjust one or more of the Processing Fee percentages, and this Agreement, where required, will be deemed amended accordingly. In the event that there is a termination, modification to a promotion(s) or other Program feature(s) or other adjustment(s) to Processing Fee percentages, TDFS shall provide Merchant with thirty (30) days notice prior to implementing said termination(s), modification(s) or adjustment(s). TDFS agrees that it will not terminate or modify promotions or other Program features or adjust the Processing Fee percentages at any time during the first Program Year, and in subsequent Program Years will not terminate or modify promotions or Program features (but may adjust Processing Fee percentages) between the dates of October 1 and the last calendar day in February.
Periodic Adjustment. By April 15th of each year/ every even-numbered year/ every third year, the parents shall exchange complete income information, including W-2 statements and all schedules. The parents shall also provide verification of the current child care and/or camp expenses, if applicable. The child support obligations shall be recalculated according to the formula set forth herein and the new child support obligation shall commence on May 1st.
Periodic Adjustment. The PCT Payments for each Fiscal Year set forth in Section 4.1 ("PCT Payments") shall be reviewed annually by the Parties no later than ninety (90) days following the Fiscal Year End to assure that it continues to reflect the arm's length value of the licenses and rights granted to RPCV under the terms of this License Agreement. If the Parties mutually agree that a change to the PCT Payments is necessary, then the Parties shall execute an appropriate amendment to this License Agreement.
Periodic Adjustment. In addition to the Annual Adjustments, Base Rent shall be subject to a periodic adjustment as provided for in this Section effective on January 1st of the sixth year following the Commencement Date, and every five years thereafter (the “Adjustment Date”). The Lessor and Lessee shall renegotiate the amount of Base Rent payable to Lessor, and to agree on the amount of Base Rent at least ninety (90) calendar days prior to the Adjustment Date (hereinafter such ninety (90) calendar-day period shall be referred to as the “Renegotiation Deadline”). If the Lessor and Lessee cannot agree on an adjustment of Base Rent before the Renegotiation Deadline, then Base Rent shall be the larger amount of either: (i) the Percentage Split Rent; (ii) Minimum Rent then due based on the annual adjustments in Section 3.2.1; or (iii) the Minimum Rent due at the Commencement Date adjusted to the Consumer Price Index (“CPI”) for All Urban Consumers, Region West – Size Class B/C published by the Department of Labor Bureau of Labor Statistics.
Periodic Adjustment. At the conclusion of each period of five (5) consecutive contract years under this Agreement (i.e. conclusion of contract years 5, 10, 15, 20, 25, 30, 35, 40, 45 and 50), Rent shall be increased seven percent (7%) and the adjusted Rent rate shall be in effect for the ensuing period of five (5) consecutive contract years.
