Position, Duties and Reporting. (i) During the period beginning on the first day of the Employment Period and ending on the earlier of (A) the first anniversary thereof or (B) the date on which the individual serving as the Company's Executive Chairman as of the Effective Time (the "Executive Chairman") ceases to so serve (the "Initial Period"), the Executive shall serve as President and Chief Executive Officer of the Company and shall report directly to the Executive Chairman. During the Initial Period, the Executive shall have all of the powers, duties and responsibilities typically associated with the positions of President and Chief Executive Officer, including but not limited to direct charge of and general supervision over the business affairs of the Company, interaction with and presentation of matters to the Board of Directors of the Company (the "Board") and such other duties, rights and responsibilities which may be assigned to him by the Board. Notwithstand ing the foregoing, during the Initial Period, the Executive shall have input into, but shall not have primary responsibility with respect to, transition and integration matters relating to the transactions contemplated by the Merger Agreement, the primary responsibility for which matters shall be the respon sibility of the Executive Chairman. During the Initial Period, all Company officers shall report to the Executive.
Position, Duties and Reporting. Executive shall be employed by the Company or at the discretion of the Company one of its direct or indirect wholly-owned subsidiaries and shall serve as Executive Chairman of the Company. Executive shall report directly to the Board in his capacity as Executive Chairman of the Company. Executive shall perform the duties, undertake the responsibilities and exercise the authority customarily performed, undertaken and exercised by persons situated in similar executive capacities and consistent with the Bylaws of the Company as amended and in effect from time to time. The Chief Executive Officer shall report directly to Executive.
Position, Duties and Reporting. Your position will be Chief Financial Officer (“CFO”) and Executive Vice President (“EVP”) of the Company, and you will report directly to the Chief Executive Officer (the “CEO”) of the Company. You shall be employed by the Company on a full-time basis and shall perform such duties and responsibilities on behalf of the Company as are consistent with your position, as may be designated from time to time by the CEO. You will be required to devote all of your business time to the business and affairs of the Company and to the promotion of its interests. Notwithstanding the foregoing, you may engage in other activities such as personal investments or business ventures that do not involve a conflict of interest with Company or civic and charitable activities, so long as: (i) such activities do not interfere or conflict with your duties and obligations hereunder and (ii) such activities are disclosed in advance to the Company. In addition, you shall be permitted to serve as a director on up to two (2) other publicly-traded company’s Board of Directors, in addition to current not-for-profit Board of Director positions, so long as they do not compete with Company and subject to the prior consent of the CEO.
Position, Duties and Reporting. Executive will serve as Chief Financial Officer of the Company. In his capacity as Chief Financial Officer of the Company, Executive will devote substantially his full business time, energy, and ability to the businesses of the Company, ComCor-TV and any other businesses that may be acquired or developed by the Company. In his capacity as Chief Financial Officer of the Company, Executive will have the duties, responsibilities and authority established by the Company’s Chief Executive Officer and board of directors (the “Board”) and will perform his duties and responsibilities at ComCor-TV’s offices in Moscow, Russia.

Executive shall report directly to the Interim Chief Executive Officer or, on and following the date a permanent Chief Executive Officer assumes office, the Chief Executive Officer, in his capacity as Interim President and Chief Operating Officer of the Company. Executive shall perform the duties, undertake the responsibilities and exercise the authority customarily performed, undertaken and exercised by persons situated in similar executive capacities.
Position, Duties and Reporting. Your position will be Chief Medical Officer of the Company, and you will report directly to the Chief Executive Officer (the “CEO”) of the Company. You shall be employed by the Company on a full-time basis and shall perform such duties and responsibilities on behalf of the Company as are consistent with your position, as may be designated from time to time by the CEO. You will be required to devote all of your business time to the business and affairs of the Company and to the promotion of its interests. Notwithstanding the foregoing, you may engage in other activities such as personal investments or business ventures that do not involve a conflict of interest with Company or civic and charitable activities, so long as: (i) such activities do not interfere or conflict with your duties and obligations hereunder and (ii) such activities are disclosed in advance to the Company.

Effective April 7, 2020 (the “Effective Date”), you will be employed by the Company and serve as the Chief Financial Officer and Chief Accounting Officer of the Company, reporting to the Chief Executive Officer, Xxxxxxx X. Xxxx, of the Company. You will perform the duties, undertake the responsibilities and exercise the authority customarily performed, undertaken and exercised by persons situated in similar executive capacities. Your principal place of employment will be the Company’s office located in McLean, Virginia. You agree to devote your full professional time and attention to the business and affairs of the Company. 2.

From the Commencement Date and thereafter during the Employment Period, Executive shall serve as President and/or in such other position(s) with the Company and its affiliates as the Board of Directors (the “Board”) of the Company may assign Executive from time to time. From the Commencement Date and thereafter during the Employment Period, Executive shall devote substantially all of his business time and attention to the services required of him hereunder. Employee shall report directly to the Chief Executive Officer, the most senior officer of the Company (and its holding company).

In his capacity as Chief Executive Officer of the Company, Executive will devote substantially his full business time, energy, and ability to the business of the Company, and will have the duties, responsibilities and authority that the Company's board of directors (the "Board") has established as of the date hereof, which duties, responsibilities and authority are customarily required of and given to the chief executive officer of other companies doing business in Russia. In his capacity as Chief Executive Officer of the Company, Executive will perform his duties and responsibilities at ComCor-TV's offices in Moscow, Russia, and will report directly to the Board.

In his capacity as Chief Financial Officer of the Company and of ComCor-TV, Executive will perform his duties and responsibilities at ComCor-TV's offices in Moscow, Russia, and will report directly to the Chief Executive Officer of the Company and to the Chairman of the Management Board of ComCor-TV, respectively.
