POSSESSION; QUIET ENJOYMENT. Section 4.01. Landlord shall, on or before the Commencement Date, deliver possession of the Premises to Tenant, including completed leasehold improvements as set forth in Article 10 hereof, in good condition and repair, and in material compliance with all governmental codes, laws, ordinances, regulations and requirements applicable to the Premises and to Tenant's use thereof.
POSSESSION; QUIET ENJOYMENT. (A) Pursuant to the terms of the Lease Agreement, the Company has the exclusive right to possess and make improvements to the Premises leased hereby.
POSSESSION; QUIET ENJOYMENT. LANDLORD warrants that it has good title to the Premises, and that it will, at the beginning of the term hereof, deliver possession of the Premises to TENANT in good condition, free of all other tenancies. Each party hereto affirms and states it has full right and authority to enter into this Lease Agreement. LANDLORD covenants and agrees that, so long as TENANT performs its obligations hereunder, TENANT shall have the undisturbed right to peaceable possession of the Leased Premises.
POSSESSION; QUIET ENJOYMENT. During the term of this Lease, so long as MS Westfield or the Guarantor have paid all Annual Rentals, Additional Rentals and other payments required under this Lease, MS Westfield shall have the right to exclusive possession, control and quiet enjoyment of the Leased Premises. During the term of this Lease, in the event that MS Westfield and the Guarantor fail to pay any Annual Rentals, Additional Rentals or other payments required under this Lease when due, the WRC, at its option, shall be entitled to immediate and exclusive possession, control and quiet enjoyment of the Leased Premises and may exercise all rights granted to MS Westfield or the Lessees hereunder, without notice or other process, and shall retain such rights until all Reimbursement Obligations and accrued interest thereon incurred pursuant to Section 3(d) have been paid in full. Notwithstanding the foregoing, WRC agrees that in the event that it takes possession and control of the Leased Premises pursuant to this Section 19, it will not terminate any sublease of the Leased Premises and will not interfere with any subtenant’s use and quiet enjoyment of the Leased Premises so long as the subtenant is not in default under the sublease.
POSSESSION; QUIET ENJOYMENT. Until default, Grantor shall have the possession and beneficial use of the Collateral and may use it in any lawful manner not inconsistent with this Agreement or the Loan Documents. Lender confirms that neither it nor any person lawfully claiming through it will interfere with the quiet enjoyment and use of the Aircraft by Lessee throughout the Lease as long as no “Event of Default” (as defined in the Lease) has occurred and is continuing.
POSSESSION; QUIET ENJOYMENT. Section 21.01. Landlord shall deliver sole and exclusive possession of the Premises to the Tenant at the commencement of the term hereof, free and clear of any other lease or tenancy.
POSSESSION; QUIET ENJOYMENT. Landlord covenants that Tenant will have quiet, peaceful, and uninterrupted possession of the Premises so long as Tenant keeps and performs all of the material covenants and obligations of this lease on the part of Tenant to be performed, subject to the other conditions and provisions set forth herein. Landlord represents and warrants to Tenant that the owner of the Property is McGehee Realty of Miami, Ltd., x Xxxxxda limited partnership ("Owner"), and that the Landlord occupies the Premises pursuant to that certain Lease between Owner and Landlord dated September 5, 1997 (the "Prime Lease"). Landlord represents and warrants to Tenant that neither the Premises nor the Common Area is encumbered by any mortgage nor any other instrument that would preclude Tenant from using the Premises for the purposes contemplated by this lease.
POSSESSION; QUIET ENJOYMENT. Section 4.01. Landlord shall, on or before the Commencement Date deliver possession of the Premises to Tenant in their "as is" condition. It is agreed that the Tenant has had sufficient opportunity to inspect the Premises and that the Landlord has made no warranties or representations whatsoever with respect to the physical condition of the Premises or the suitability of the Premises for Tenant's intended use.
POSSESSION; QUIET ENJOYMENT. Section 4.01. Landlord shall deliver possession of the Premises, in their “as is” condition, to Tenant on the Commencement Date. Tenant hereby acknowledges that Landlord does not have any obligation to prepare the Premises for Tenant’s occupancy and that Tenant shall be solely responsible for any such work, which shall be performed in accordance with the terms and conditions of this Lease.
POSSESSION; QUIET ENJOYMENT. (A) Pursuant to the terms of the Lease Agreement, except as otherwise provided therein after the occurrence of an Event of Default thereunder, the Real Estate Owner has the exclusive right to possess and make improvements to the Premises leased hereby.
