Post-Termination License. Upon the expiration or early termination of this Agreement, the foregoing license described in clause (i) of paragraph a. above shall automatically continue for purposes of providing Spectre with the rights required to continue operating as contemplated in Section 7b below; provided, however, that this post-termination license shall expire upon five days’ advance written notice to Spectre of its failure to comply with the royalty-payment obligations under Section 9, so long as such failure has not been cured by such date.

Post-Termination License. Notwithstanding anything to the contrary provided herein, in the event of any termination or expiration of this Agreement for any reason, LTX shall automatically grant to Ando an irrevocable, perpetual, royalty-free and non-transferable license to use the LTX Licensed Technology and Improvements, for the sole and exclusive purpose of maintaining, servicing, and supporting Fusion Test Systems manufactured (or purchased) and sold by Ando in compliance with the terms of this Agreement.
Post-Termination License. (a) If Jefferson National terminates this Agreement pursuant to Section 9.2(ii), or if this Agreement is terminated pursuant to 9.2(iv) (but only if Jefferson National is the breaching party) or 9.2(vi), Jefferson National and JNFC shall enter into a licensing agreement on commercially reasonable terms, granting PHLVIC and PLIC a post termination license for any then valid and continuing intellectual property rights described in Section 6.5 above for purposes of PHLVIC's and PLIC's marketing, sale and administration of new and existing Phoenix Contracts.
Post-Termination License. For a period of 90 days following the ------------------------ expiration or termination of this Agreement, CrossWorlds will have the right to (i) continue to attempt to sell Licensed Software to Customers which were, at the time of termination or expiration, engaged in discussions with CrossWorlds to license the Licensed Software, and (ii) fulfill all orders placed in such 90 day period. All of the rights, licenses and obligations of CrossWorlds under this Agreement related to such right to offer and fulfill shall continue during such period. The Employee can rebut the above presumption if he proves the idea, process or invention (i) was first conceived or developed after termination of employment, (ii) was conceived or developed entirely on the Employee’s own time without using the Company’s equipment, supplies, facilities, personnel or Confidential Information, and (iii) did not result from or is not derived directly or indirectly, from any work performed by the Employee for the Company or from work performed by another employee of the Company to which the Employee had access.

  • Post-Termination Restrictions Employee recognizes that (i) Company has spent substantial money, time and effort over the years in developing and solidifying its relationships with its customers, suppliers, landlords and alliance, marketing and media partners and in developing its Confidential Information; (ii) long-term customer, landlord, supplier and partner relationships often can be difficult to develop and require a significant investment of time, effort and expense; (iii) Company has paid its employees to, among other things, develop and preserve business information, customer, landlord, vendor and partner goodwill, customer, landlord, vendor and partner loyalty and customer, landlord, vendor and partner contacts for and on behalf of Company; and (iv) Company is hereby agreeing to employ and pay Employee based upon Employee’s assurances and promises not to divert goodwill of customers, landlords, suppliers or partners of Company, either individually or on a combined basis, or to put himself in a position following Employee’s employment with Company in which the confidentiality of Company’s Confidential Information might somehow be compromised. Accordingly, Employee agrees that during the Employment Period and for the period of time set forth below following termination of employment, provided termination is in accordance with the terms of Section 4.1(b), (c), or (d), or due to expiration of the Agreement due to non-renewal by either party, Employee will not, directly or indirectly (whether as owner, partner, consultant, employee or otherwise):

The Executive further agrees that Executive will provide, upon reasonable notice, such information and assistance to the Company as may reasonably be requested by the Company in connection with any audit, governmental investigation, litigation, or other dispute in which the Company is or may become a party and as to which the Executive has knowledge; provided, however, that (i) the Company agrees to reimburse the Executive for any related out-of-pocket expenses, including travel expenses, and (ii) any such assistance may not unreasonably interfere with Executive’s then current employment.

  • Term; Termination; Rights on Termination The term of this Agreement shall begin on the date hereof and continue for three (3) years, and, unless terminated sooner as herein provided, shall continue thereafter on a year-to-year basis on the same terms and conditions contained herein in effect as of the time of renewal (such initial three year period and any extensions thereof being referred to herein as the "Term"). This Agreement and Employee's employment may be terminated in any one of the following ways:

  • Post-Termination Benefits If the Executive's employment shall be terminated for any reason following a Change in Control and during the Term, the Company shall pay to the Executive the Executive's normal post-termination compensation and benefits as such payments become due.   • Benefits Termination Except for any right the Executive may have under the federal law known as “COBRA” or other applicable law to continue participation in the Company’s group health and dental plans at his cost, the Executive’s participation in all employee benefit plans shall terminate in accordance with the terms of the applicable benefit plans based on the date of termination of his employment, without regard to any continuation of the Base Salary or other payment to the Executive following termination of his employment, and the Executive shall not be eligible to earn vacation or other paid time off following the termination of his employment.
