Potential Moratorium Authority. The Parties acknowledge, as of the Effective Date of this Agreement, that the Wastewater Treatment Facility has substantial deficiencies in its ability to handle wet weather flows, that the Treatment Facility is currently operating near or above its hydraulic design capacity, and that future development which can connect to already constructed or approved Sewer Extensions could use up any remaining engineering safety margin of Average Daily Flow treatment capacity. During the Transition Period, without limitation and notwithstanding any other provision of this Agreement, the Wastewater Commission shall, upon a favorable vote of three-quarters of its members, have express authority to impose a temporary moratorium on the approval or processing of additional applications for Sewer Extensions if it finds that such a moratorium is necessary to comply with All Applicable Laws or that Clean Water Fund Financing for the 1998 Recommended Improvements is seriously at risk in the absence of such a moratorium. Further, the Wastewater Commission shall also have authority to impose such a moratorium, upon a favorable vote of three-quarters of its members, if it finds that such a moratorium is prudent to avoid any potential problems with All Applicable Laws or any risk of endangering the availability of Clean Water Fund Financing for the 1998 Recommended Improvements.

  • Developer Authority Consistent with Good Utility Practice and this Agreement, the Developer may take whatever actions or inactions with regard to the Large Generating Facility or the Developer Attachment Facilities during an Emergency State in order to (i) preserve public health and safety, (ii) preserve the reliability of the Large Generating Facility or the Developer Attachment Facilities, (iii) limit or prevent damage, and (iv) expedite restoration of service. Developer shall use Reasonable Efforts to minimize the effect of such actions or inactions on the New York State Transmission System and the Connecting Transmission Owner’s Attachment Facilities. NYISO and Connecting Transmission Owner shall use Reasonable Efforts to assist Developer in such actions.

  • Contracting authority The contracting authority of this public contract is Enabel, the Belgian development agency, public-law company with social purposes, with its registered office at Xxx Xxxxx 000, 0000 Xxxxxxxx xx Xxxxxxx (enterprise number 0264.814.354, RPM/RPR Brussels). Enabel has the exclusive competence for the execution, in Belgium and abroad, of public service tasks of direct bilateral cooperation with partner countries. Moreover, it may also perform other development cooperation tasks at the request of public interest organisations, and it can develop its own activities to contribute towards realisation of its objectives. For this procurement contract, Xxxxxx is represented by person(s) who shall sign the award letter and are mandated to represent the organisation towards third parties.

  • General Enforcement Authority That the terms of this Agreement shall be enforced in accordance with the provisions, terms and authorities provided in this Agreement and under the respective laws and regulations of each Participating State.

The Manager may designate individuals as authorized signatories to bind the Company and/or serve as “authorized persons,” within the meaning of the Act, to execute, deliver and file any amendments or restatements of the Certificate and all other certificates (and any amendments and/or restatements thereof) required or permitted by the Act to be filed in the office of the Secretary of State of Delaware. Without limiting the generality of the foregoing, the Secretary or any Vice President of DHC is hereby designated as an authorized person, within the meaning of the Act, to execute, deliver and file, or cause the execution, delivery and filing of, all certificates (and any amendments and/or restatements thereof) required or permitted by the Act to be filed in the office of the Secretary of State of Delaware.
