Power to Engage for Assistance. Any Manager is authorized to engage, for any reasonable reason he, she or it deems advisable to carry out the business of the Company and to carry out the duties of any Manager hereunder, or for the purpose of compromising, contesting, prosecuting, defending, settling, abandoning or adjusting any claim or demand under Section 5.3(d), such agents, advisors, service providers, attorneys, and other counsel, including but not limited to any Affiliates, on their usual commercial terms and the Corporate Manager shall pay the charges and fees of such agents, advisors, service providers, attorneys, and counsel, as the engaging Manager shall in his, her or its sole discretion determine, and if an Individual Manager is engaging, then he or she shall direct the Corporate Manager to make said payments, without diminution of or charging the same against the compensation of the Corporate Manager or Individual Managers. The engaging Manager may direct the Corporate Trustee to contribute funds from the Oversight Board Trust to the Company for such purpose.

Power to Engage for Assistance. Any Trustee is authorized to engage, for any reasonable reason he, she or it deems advisable to carry out the Purpose of the Trust and to carry out the duties of any Trustee hereunder, or for the purpose of compromising, contesting, prosecuting, defending, settling, abandoning or adjusting any claim or demand under Section 4.9, such agents, advisors, service providers, attorneys, and other counsel, including but not limited to any Affiliates, on their usual commercial terms and the Corporate Trustee shall pay out of income or principal or both the charges and fees of such agents, advisors, service providers, attorneys, and counsel, as the engaging Trustee shall in his, her or its sole discretion determine, and if an Individual Trustee is engaging, then he or she shall direct the Corporate Trustee to make said payments, without diminution of or charging the same against the compensation of the Corporate Trustee or Individual Trustees.

  • Other Assistance Assist SBEs in their efforts to obtain bonds, lines of credit and insurance. (Note that the Agency has a Surety Bond Program that may assist SBEs in obtaining necessary bonding.) The Agency-Assisted Contractor or Contractor(s) shall require no more stringent bond or insurance standards of SBEs than required of other business enterprises.

  • Requests for Assistance 1. Requests for assistance shall be made in writing, signed by the Chairman of the Requesting authority and addressed to the contact person of the Requested Authority listed in Annex A. 2. The Request should specify the following: a. a description of the subject matter of the request and the purpose for which the information is sought and the reasons why this information will be of assistance; b. a description of the specific information requested by the Requesting Authority; c. a description of the facts that constitute the grounds for the suspicion that the offence that is the subject of the request has been committed, and of the connection between these facts and the assistance requested; d. a short description of the relevant provisions that may have been violated and, if known to the Requesting Authority, a list of the persons or institutions believed by the Requesting Authority to possess the information sought or the places where such information may be obtained and the details that support this belief, to the best of the Requesting Authority’s knowledge; e. in so far as the request concerns information relating to transactions in specific securities • a description of the securities in question as precise as possible (including e.g. the securities code), • the names of those firms with whose dealings in the securities the Requesting Authority is concerned, • the dates between which transactions in the securities are considered relevant for the purposes of the request, • the names of any persons on whose behalf relevant transactions in the securities are believed or suspected to have been entered into; f. in so far as the request relates to information concerning the business or activities of any person, such precise information as the Requesting Authority is able to provide so as to enable such persons to be identified; g. an indication of the sensitivity of the information contained in the request and whether the Requesting Authority agrees that the request shall be disclosed to persons whom the Requested Authority may need to approach for information; h. whether the Requesting Authority is or has been in contact with any other authority or law enforcement agency in the State of the Requested Authority in relation to the subject matter of the request; i. any other securities authority of another state whom the Requesting Authority is aware has an active interest in the subject matter of the request; j. an indication of the urgency of the request, or the desired time period for the reply. x. a declaration that any information or document transferred to the Requesting authority pursuant to the request shall be used solely for the purpose for which it was delivered;

  • Further Assistance Award Recipient will provide assistance reasonably requested by the Company in connection with actions taken by Award Recipient while employed by the Company, including but not limited to assistance in connection with any lawsuits or other claims against the Company arising from events during the period in which Award Recipient was employed by the Company.

  • Duration of Assistance Program funds will be distributed as a one-time payment to the servicer.

  • Mutual Assistance The Parties will do all things reasonably necessary or appropriate to carry out the terms and provisions of this Agreement and to aid and assist each other in carrying out such terms and provisions.

  • Directory Assistance 72.1 The Parties acknowledge that CenturyLink is not a Directory Assistance (DA) provider. CenturyLink provides directory listings information for its subscribers to third party DA providers to be included in the national and local databases used by such third party providers. The Parties agree that to the extent the DA provider contracted by CLEC for DA services to CLEC’s subscribers also populates the national DA database, then CLEC’s DA listings have been made available to CenturyLink’s subscribers and no further effort is needed by either Party. If for any reason, CLEC desires that CenturyLink act as a middleman conduit for the placement of CLEC’s DA listings in the DA database(s), then CenturyLink shall provide such compensable DA listings service pursuant to separate written terms and conditions between CenturyLink and CLEC which will be attached to this Agreement as an Amendment.

  • Technical Assistance DFPS may provide informal support, guidance, clarification, and other forms of technical assistance via phone, email, and virtual meeting to resolve Grant or performance compliance issues. Grantee will document all such instances of technical assistance by DFPS in writing, including any implementation work.

  • Audit Assistance Each of the Parties and their respective Subsidiaries are or may be subject to regulation and audit by a Governmental Authority (including a Taxing Authority), standards organizations, customers or other parties to contracts with such Parties or their respective Subsidiaries under applicable Law, standards or contract provisions. If a Governmental Authority, standards organization, customer or other party to a contract with a Party or its Subsidiary exercises its right to examine or audit such Party’s or its Subsidiary’s books, records, documents or accounting practices and procedures pursuant to such applicable Law, standards or contract provisions, and such examination or audit relates to the Services, then the other Party shall provide, at the sole cost and expense of the requesting Party, all assistance reasonably requested by the Party that is subject to the examination or audit in responding to such examination or audits or requests for Information, to the extent that such assistance or Information is within the reasonable control of the cooperating Party and is related to the Services.

  • Plan of Assistance The Plan of Assistance is designed to be helpful. It is initiated when other means of the assistive process have not been successful and the supervisor determines that the classified employee needs additional assistance and support to maintain or achieve an acceptable level of performance.

  • Legal Assistance The Board shall give full support including legal and other assistance for any assault upon the employee while properly acting in the discharge of his/her duties.
