Powers, Duties and Obligations of Xxxxxx Xxxxx Trust Company. (a) Non-discretionary Services. EJTC will provide custody services for certain securities and financial investments. These services will be limited to those offered by EJTC in its regular course of business and subject to such limits as EJTC may establish from time to time for my Account. My Xxxxxx Xxxxx financial advisor may utilize a professional designation. I understand that Xxxxxx Xxxxx and EJTC are not affiliated with any of the sponsoring firms of such professional designations. The use or attainment by my Xxxxxx Xxxxx financial advisor of a particular professional designation in no way implies that EJTC, Xxxxxx Xxxxx, or my Xxxxxx Xxxxx financial advisor provides financial planning services or investment advisory services for my Account. I understand that should I determine I need financial planning services, I can learn about Xxxxxx Xxxxx’ financial planning offering(s) by speaking with my financial advisor or going to xxxxxxxxxxx.xxx/ advisorybrochures to review the available financial planning documents.

  • Dimensions Education Bachelor’s Degree in Computer Science, Information Systems, or other related field. Or equivalent work experience. Experience: A minimum of 4 years of IT work experience in data modeling, data analysis, relational DBMS design and support and relevant computing environments.

  • Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of New York.

  • Limitation of Liability No provision hereof, in the absence of any affirmative action by the Holder to exercise this Warrant to purchase Warrant Shares, and no enumeration herein of the rights or privileges of the Holder, shall give rise to any liability of the Holder for the purchase price of any Common Stock or as a stockholder of the Company, whether such liability is asserted by the Company or by creditors of the Company.

  • Entire Agreement This Agreement constitutes the entire agreement between the parties hereto with respect to the subject matter contained in this Agreement and supersedes all prior agreements, understandings and negotiations between the parties.

  • Indemnification In the event any Registrable Securities are included in a Registration Statement under this Agreement:

  • Confidentiality (a) Subject to Section 7.15(c), during the Term and for a period of three

  • Miscellaneous The Vendor acknowledges and agrees that continued participation in TIPS is subject to TIPS sole discretion and that any Vendor may be removed from the participation in the Program at any time with or without cause. Nothing in the Agreement or in any other communication between TIPS and the Vendor may be construed as a guarantee that TIPS or TIPS Members will submit any orders at any time. TIPS reserves the right to request additional proposals for items or services already on Agreement at any time.

  • WHEREAS the Company desires the Warrant Agent to act on behalf of the Company, and the Warrant Agent is willing to so act, in connection with the issuance, registration, transfer, exchange, redemption and exercise of the Warrants; and

  • IN WITNESS WHEREOF the parties hereto have executed this Agreement as of the day and year first above written.

  • Termination This Agreement may be terminated at any time prior to the Closing:
