Pre Commencement Services. DIR and Successful Respondent may agree that performance of certain Services by Successful Respondent prior to the Commencement Date is necessary to avoid adverse impact on activities, operations, facilities, processes, or systems of DIR or the DIR Customers. In such event, the Parties shall mutually agree to the scope of Services, roles and responsibilities of the Parties, deliverables and deliverable acceptance criteria associated with the Services, charges, and the timeframe for performance of the Services. Successful Respondent shall invoice DIR after the Commencement Date for any Services provided prior to the Commencement Date.
