Preservation and Packaging. Unless uniquely defined by a separate Buyer purchase order supplement (POS) or via an item unique drawing, specification, or applicable industry standard all items will be preserved and packaged for shipment to best commercial practice. Packaging shall protect items from damage due to shipping. All items shall be received in an undamaged state, fit for use.

Preservation and Packaging. In the absence of any specific instructions set forth on the face of this order, all articles or materials delivered pursuant to this order shall be packed adequately to prevent any damage in shipment and storage. All packages shall be properly marked and identified.
Preservation and Packaging. In addition to specific packaging and preservation instructions invoked in the Purchase Order, the following applies: All material intended for Xxxxxx Machine Company LLC shall be protected against the usual hazards of electrostatic discharge (ESD), corrosion, contamination, deterioration, or other spoilage at the Supplier’s facility and in transit. All material intended for Buyer shall be packed with suitable protection to prevent damage through handling, during storage at the Supplier, in transit, and during storage at Buyer’s facility before use. When multiple items are to be shipped in a package, the items will be individually packed or wrapped in a manner to prevent damage due to contact with other items. Marking, labeling, and identification must be extended to the lowest level of unit packaging and shall be sufficiently clear to identify the contents of the package. Bare metal material having surface protective treatment such as plating, painting, anodizing, conversion coating, etc., shall be wrapped separately in chemically neutral paper or equivalent to prevent damage to the coating. Handling, protection, or packaging shall not be accomplished using tapes which have glass beads in the tape (i.e., nylon reinforced tape) or on the tape as a separator. This requirement shall be placed in purchase order(s) to any sub tier suppliers.

Desiccants shall be provided where applicable. The Contractor shall provide a Preservation and Preventative Maintenance Plan for the Engine Controller System equipment. This plan shall detail recommended preservation and preventive maintenance procedures for the Engine Controller System Equipment during storage at the Shipyard. This plan shall consider equipment storage prior to and during shipboard installation and Shipyard equipment light-off. The safe and secure transportation of all materials and equipments required shall be the responsibility of the Contractor. The Contractor shall receive, maintain and store material items as necessary until required for assembly and test. All Uninterruptible Power Supplies (UPS) shall be shipped without batteries. All Engine Controller batteries shall be stored and preserved at vendor's facility until they are required at the shipyard. The government will notify the vendor when the batteries are required at the shipyard and should be shipped.

  • Reservation and Listing The Company shall at all times reserve and keep available out of its authorized Shares, solely for the purpose of issuance upon exercise of the Purchase Warrants, such number of Shares or other securities, properties or rights as shall be issuable upon the exercise thereof. The Company covenants and agrees that, upon exercise of the Purchase Warrants and payment of the Exercise Price therefor, in accordance with the terms hereby, all Shares and other securities issuable upon such exercise shall be duly and validly issued, fully paid and non-assessable and not subject to preemptive rights of any shareholder. The Company further covenants and agrees that upon exercise of the Purchase Warrants and payment of the exercise price therefor, all Shares and other securities issuable upon such exercise shall be duly and validly issued, fully paid and non-assessable and not subject to preemptive rights of any shareholder. As long as the Purchase Warrants shall be outstanding, the Company shall use its commercially reasonable efforts to cause all Shares issuable upon exercise of the Purchase Warrants to be listed (subject to official notice of issuance) on all national securities exchanges (or, if applicable, on the OTC Bulletin Board or any successor trading market) on which the Shares issued to the public in the Offering may then be listed and/or quoted.

  • Documentation and compliance (a) The data importer shall promptly and adequately deal with enquiries from the data exporter that relate to the processing under these Clauses. (b) The Parties shall be able to demonstrate compliance with these Clauses. In particular, the data importer shall keep appropriate documentation on the processing activities carried out on behalf of the data exporter. (c) The data importer shall make available to the data exporter all information necessary to demonstrate compliance with the obligations set out in these Clauses and at the data exporter’s request, allow for and contribute to audits of the processing activities covered by these Clauses, at reasonable intervals or if there are indications of non-compliance. In deciding on a review or audit, the data exporter may take into account relevant certifications held by the data importer.

  • Preservation and Disclosure of Lists The Trustee shall preserve, in as current a form as is reasonably practicable, all information as to the names and addresses of the Holders contained in the most recent list furnished to it as provided in Section 5.01 or maintained by the Trustee in its capacity as Note Registrar, if so acting. The Trustee may destroy any list furnished to it as provided in Section 5.01 upon receipt of a new list so furnished.
