Preservation of the Business. Without purporting to make any commitment on behalf of Purchaser, Seller shall exercise all reasonable efforts to: (i) preserve intact the present business organization and personnel of Seller; (ii) preserve the present relationship of Seller with all persons having business dealings with Seller; (iii) preserve and maintain in force all licenses, permits, registrations, franchises, and other similar rights applicable to the Business; and (iv) comply with all laws applicable to the conduct of the Business.
Preservation of the Business. The Seller will use its commercially reasonable efforts to preserve its business organization intact and to preserve the Seller's reputation and the good will of its suppliers, customers and others having business relations with the Seller.

Maintenance of Properties, Contracts use commercially reasonable efforts to preserve the business of the Company, to develop, commercialize and pursue regulatory approvals for the Company’s product and to advertise, promote and market the products of the Company and the Company Subsidiaries, and use all commercially reasonable efforts to keep the Company’s properties substantially intact, to preserve its goodwill and business, to maintain all physical properties in such operating condition as will permit the conduct of the Company’s business on a basis consistent with past practice, keep its relationships with customers, suppliers, licensors, licensees, distributors and others having business dealings with the Company and the Company Subsidiaries, and to perform and comply with the terms of the contracts referred to in Schedule 1.11 to Exhibit 4. The Company shall further use commercially reasonable efforts to assure that each of its Contracts (other than with Parent) entered into after the date hereof will not require the procurement of any consent, waiver or novation or provide for any change in the obligations of any party in connection with, or terminate as a result of the consummation of, the Merger, and shall give reasonable advance notice to Parent prior to the termination of any Material Contract pursuant to a termination notice received by the Company; 1.1.1.4

Without purporting to make any commitment on behalf of BUYER, SELLERS shall exercise all reasonable efforts to: (i) preserve the present relationship of PLATINUM OF ILLINOIS, INCORPORATED with all persons having business dealings with PLATINUM OF ILLINOIS, INC., (ii) preserve and maintain in force all licenses, permits, registrations, franchises, and other similar rights applicable to PLATINUM OF ILLINOIS, INCORPORATED, and (iii), preserve PLATINUM OF ILLINOIS, INCORPORATED’s customer base.
Preservation of the Business. Without purporting to make any Initials: /s/ TL ------ commitment, Seller shall exercise all reasonable efforts to: (i) preserve the present relationship of Epicurean with all persons having business dealings with Epicurean; and, (ii) preserve and maintain in force all licenses, permits, registrations, franchises, and other similar rights applicable to up until Closing and to reasonably accommodate the efforts and activities of Buyer to accomplish a change of liquor agent, statutory agent, and transfer of a controlling interest in Epicurean Enterprises, L.L.C. from Xxxxxx Xxxxxxxxx to Buyer.
