Pricing for Spare Parts Inventory Management. 9.6.1 All Spare Parts Inventory Management shall be provided and priced based upon Contractor’s normal material loading (i.e., the same material loading charged by Contractor for analogous equipment maintained for use on the Distribution System of Contractor) and the ownership status of the spare parts. For those spare parts owned by Owner, the cost of replacements shall be the replacement cost of the material, to the extent paid by Contractor, shipping charges incurred, plus such normal material loading, as hereinabove provided. To the extent that Owner pays for spare parts pursuant to this Section, Owner shall own such spare parts which, upon termination of this Agreement, shall be delivered to Owner if not previously installed under this Agreement. For those spare parts owned by Contractor, the cost shall be the system average price of the item, shipping charges incurred, plus such normal material loading, as hereinabove provided. 9.6.2 Owner shall have the right at all times to direct that Contractor use materials owned or provided by Owner (in lieu of materials owned or provided by Contractor). 9.6.3 Unless Contractor is disputing in good faith a payment claimed by a subcontractor, Owner shall have the right at all times to pay directly to any subcontractor of Contractor all amounts due such subcontractor for work, services or supplies provided by such subcontractor on behalf of Contractor under this Agreement; provided that the rating in effect by S&P or Moody’s for the long term senior unsecured non-credit enhanced debt of Contractor is both BB+ or lower and Ba1 or lower, respectively, and Contractor has not paid, or Owner has reasonable cause to believe that Contractor will not pay, such subcontractor such amounts in full when such amounts are due such subcontractor. In the event Owner pays a subcontractor pursuant to this Section 9.6.3, the Subcontractor Cost shall not include such amount paid.

  • Accessories, Spare Parts and Tools Accessories, spare parts and tools dispatched with a piece of equipment, machine, apparatus or vehicle, which are part of the normal equipment and included in the price thereof or which are not separately invoiced, shall be regarded as one with the piece of equipment, machine, apparatus or vehicle in question.

  • Spare Parts 14.1 As specified, the supplier may be required to provide any or all of the following materials, notifications, and information pertaining to spare parts manufactured or distributed by the supplier: (a) such spare parts as the purchaser may elect to purchase from the supplier, provided that this election shall not relieve the supplier of any warranty obligations under the contract and; (b) In the event of termination of production of the spare parts: (i) advance notification to the purchaser of the pending termination, in sufficient time to permit the purchaser to procure needed requirements and; (ii) Following such termination, furnishing at no cost to the purchaser, the blueprints, drawings, and specifications of the spare parts, if requested.

  • Solicitations for Subcontracts, Including Procurement of Materials and Equipment In all solicitations either by competitive bidding or negotiation made by the Local Government for work to be performed under a subcontract, including procurement of materials or leases of equipment, each potential subcontractor or supplier will be notified by the Local Government of the Local Government’s obligations under this Agreement and the Acts and Regulations relative to Nondiscrimination on the grounds of race, color, or national origin.

  • Price Adjustments for OGS Centralized Contracts Periodic price adjustments will occur no more than twice per year on a schedule to be established solely by OGS. Pricing offered shall be fixed for the first twelve (12) months of the Contract term. Such price increases will only apply to the OGS Centralized Contracts and shall not be applied retroactively to Authorized User Agreements or any Mini-bids already submitted to an Authorized User. Price decreases may be made at any time. Additionally, some price decreases shall be calculated in accordance with Appendix B, section 17, Pricing.

  • Computer Equipment Recycling Program If this Contract is for the purchase or lease of computer equipment, then Contractor certifies that it is in compliance with Subchapter Y, Chapter 361 of the Texas Health and Safety Code related to the Computer Equipment Recycling Program and the Texas Commission on Environmental Quality rules in 30 TAC Chapter 328.

When packaging materials and containers in which a good is packaged for retail sales are classified in the Harmonized System with the good, they shall not be taken into account in determining whether all non-originating materials used in the production of the good undergo the applicable change in tariff classification set out in Annex 4.03. 2. When the good is subject to a requirement of regional value content, the value of these packaging materials and containers shall be taken into account as originating or non-originating materials, as the case may be, in calculating the regional value content of the good.

  • Changes in Equipment, Systems, Etc USBFS reserves the right to make changes from time to time, as it deems advisable, relating to its systems, programs, rules, operating schedules and equipment, so long as such changes do not adversely affect the services provided to the Trust under this Agreement.
