Product Branding. 6.4.1 The Product will be branded as a QIAGEN product, including identified as “manufactured by QIAGEN.” QIAGEN shall secondarily display a Xxxxxx brand on (a) the [*] component of the Product; (b) the test report (if the QIAGEN brand appears on the test report) and (c) any promotional materials for the Product. Xxxxxx may update the Xxxxxx brand to be used upon reasonable written notice to QIAGEN. 6.4.2 Xxxxxx hereby grants to QIAGEN a fully paid up and royalty-free non-exclusive right and license to certain Xxxxxx trademarks that Xxxxxx will provide on Exhibit G after the Effective Date (the “Xxxxxx Trademarks”) for purposes of associating and using the Xxxxxx Trademarks with the [*] component of the Product and the test report generated by the Product, solely in accordance with this Agreement. QIAGEN will use the Xxxxxx Trademarks in accordance with the applicable trademark usage guidelines to be set forth in Exhibit G or other written instructions provided to QIAGEN by Xxxxxx. Any use of the Xxxxxx Trademarks will indicate through a legend that Xxxxxx is the owner of the Xxxxxx Trademarks and QIAGEN’s use is under license. All uses of the Xxxxxx Trademarks and all goodwill associated therewith will inure solely to the benefit of Xxxxxx, and QIAGEN shall not challenge, directly or indirectly, Xxxxxx’x rights in respect of the Xxxxxx Trademarks. 6.4.3 Upon any expiration or termination of this Agreement, the license set forth in Section 6.4.2 shall terminate, unless otherwise agreed to by the Parties. 6.4.4 Each Party agrees to notify the other in writing promptly (but not later than thirty (30) days) after obtaining knowledge of any infringements or imitations of the other Party’s trademarks by third parties. Supplier acknowledges that the DJO Trademarks are owned by DJO. Supplier shall not adopt, use, apply for registration, register or own the DJO Trademarks or other proprietary marks of DJO, or any colorable imitation thereof. Supplier acknowledges that it will not adopt or use any of the DJO Trademarks or other proprietary marks of DJO, in whole or in part, or any confusingly similar word or symbol, as part of Supplier's company name. It is expressly understood and Supplier acknowledges DJO's exclusive ownership in the DJO Trademarks and other proprietary marks of DJO. Supplier acknowledges that it will not acquire any right, title or interest in the words "DJO" or "Chattanooga" (either alone or in association with other words, names or symbols) or any other DJO Trademark or other proprietary xxxx of DJO by virtue of this Agreement. DJO reserves all rights in the DJO Trademarks and other proprietary marks of DJO.
Product Branding. 3.1 Existing Arrangements - Any Flowpoint product which Reseller, immediately --------------------- prior to the Effective Date, was reselling under a Reseller brand, may, at Reseller's request, continue to be resold under such Reseller brand. For purposes of rebranding, upgraded and enhanced versions of Products rebranded prior to the Effective Date shall be deemed to be Products entitled to rebranding. Such Products shall continue to be rebranded substantially similarly to the way they were being rebranded prior to the Effective Date. Any changes to the rebranding specifications shall be agreed in writing by authorized representatives of each Party.
