Product Updates and Upgrades. 3.2.1 The software package that you may access remotely represents one version (the “Version”) of the Product. The software that you may access as part of this Product is licensed but not sold to you. You are aware that you are licensing the use of a Version of the Product, rather than purchasing the Product outright. You further acknowledge and agree that PrimePay may cause the software templates or software system that delivers the Product to become inoperable where the Version has expired due to passage of time, failure to remunerate, or other circumstances. PrimePay reserves the right to collect data from your use of the Product, by the use of cookies or otherwise, for any lawful purpose including but not limited to determine whether you are complying with the terms of this Agreement, all in accordance with PrimePay’s Privacy Policy.

Product Updates and Upgrades. QUADIENT shall provide any Licensee under a valid Maintenance Service Level Agreement with each generally available release of the Products (and any applicable updated Documentation and one (1) machine-readable copy). Upgrades are designated as follows: (i) a “major” Upgrade is indicated by a change in the first digit of a version number (e.g. from 10.0 to 11.0); (ii) an “Upgrade” is indicated by a change in the second digit (e.g. from 10.0 to 10.1); or (iii) an “Update”, is indicated by a change in the third digit of a version number (e.g. from 10.0.1 to 10.0.2). Maintenance releases shall be provided as necessary in response to a Licensee inquiry. Licensee shall be solely responsible for the installation and testing of any Updates.

  • Updates “Updates” are changes that do not require a change to the established Centralized Contract terms and conditions. Updates may include: Centralized Contract changes and updates made in accordance with the previously approved pricing formula (e.g. discount from list price); adding new products or services within the established, previously approved pricing structure; lowering pricing of products or services already on Contract, deleting products or services available through the Centralized Contract, adding product or service that do not fall under the previously established price structure or discounts under the Contract, re-bundled products, and other updates not listed above that are deemed to be in the best interest of the State and do not result in a change to the established Centralized Contract terms and conditions. Updates must be submitted to OGS for review, and must be accompanied by a justification of reasonableness of price if the change results in a change in pricing methodology. OGS will notify Contractor in writing if approved.

  • Technical Specifications The Technical Specifications furnished on the CD are intended to establish the standards for quality, performance and technical requirements for all labor, workmanship, material, methods and equipment necessary to complete the Work. When specifications and drawings are provided or referenced by the County, these are to be considered part of the Scope of Work, and to be specifically documented in the Detailed Scope of Work. For convenience, the County supplied specifications, if any, and the Technical Specifications furnished on the CD.

  • Product Changes Vocera shall have the right, in its absolute discretion, without liability to End User, to update to provide new functionality or otherwise change the design of any Product or to discontinue the manufacture or sale of any Product. Vocera shall notify End User at least 90 days prior to the delivery of any Product which incorporates a change that adversely affects form, fit or function (“Material Change”). Vocera shall also notify End User at least 90 days prior to the discontinuance of manufacture of any Product. Notification will be made as soon as reasonably practical for changes associated with regulatory or health and safety issues.

  • Deliverables Upon satisfactory completion of the work authorization, the Engineer shall submit the deliverables as specified in the executed work authorization to the State for review and acceptance.

  • Licensed Software Computer program(s) provided by Contractor in connection with the Deliverables, subject to Section 14 of this Contract.

  • Upgrades If this copy of the Software is an upgrade from an earlier version of the Software, it is provided to you on a license exchange basis. You agree by your installation and use of such copy of the Software to voluntarily terminate your earlier XXXX and that you will not continue to use the earlier version of the Software or transfer it to another person or entity unless such transfer is pursuant to Section 3.

  • Promotional Materials In the event that the Fund or the Adviser makes available any promotional materials related to the Securities or the transactions contemplated hereby intended for use only by registered broker-dealers and registered representatives thereof by means of an Internet web site or similar electronic means, the Adviser will install and maintain, or will cause to be installed and maintained, pre-qualification and password-protection or similar procedures which are reasonably designed to effectively prohibit access to such promotional materials by persons other than registered broker-dealers and registered representatives thereof.

  • API If the Software offers integration capabilities via an API, your use of the API may be subject to additional costs or Sage specific policies and terms and conditions (which shall prevail in relation to your use of the API). You may not access or use the API in any way that could cause damage to us or the Software, or in contravention of any applicable laws. We reserve the right in our sole discretion, to: (i) update any API from time to time; (ii) place limitations around your use of any API; and (iii) deny you access to any API in the event of misuse by you or to otherwise protect our legitimate interests.
