Promotion of Product. CaminoSoft shall use commercially reasonable efforts to: (i) successfully promote, and solicit orders for the Legato Product on a continuing basis; (ii) comply with good business practices and all applicable laws and regulations; and (iii) diligently perform all other duties as mutually agreed upon herein.
Promotion of Product. Distributor shall promote, market, and sell the Product to customers in the Territory.
Promotion of Product. 6.1.1. to promote and market the Product in accordance with the Marketing Plan;
6.1.2. to distribute the Product in the Territory;
6.1.3. to be competent and knowledgeable in and conversant with all aspects of the Product;
6.1.4. to ensure that any notices relating to Intellectual Property Rights appearing on the Product or literature relating to the Product or pack again of the Product are not Altered or removed;
6.1.5. to inform Act of any matter which may affect or assist the promotion and marketing of the Product in the Territory;
6.1.6. to act in good faith at all times towards ACT and provide assistance and cooperation as practicable on request by ACT;
6.1.7. to furnish to ACT, within seven business days of ACT's request, any information sought by ACT regarding the promotion and distribution of the Product in the Territory;
6.1.8. to fulfil all orders for the Product within 14 days of receipt of such
6.1.9. to consult on an ongoing basis with ACT with respect to significant aspects of the distribution of the Product;
6.1.10. to not make any representations or claims inconsistent with the Marketing Plan; and
6.1.11. to not make any false, misleading or deceptive statements with respect to the Product.
Promotion of Product. 8.1 The Licensee must actively promote the sale of the Product within the Territories. Licensee will expend in a manner exclusively at Licensees' discretion, a minimum of US$ 25,000 per year, in marketing expense, to promote the Product.
8.2 The Licensor must provide the Licensee on a timely basis; with all technical and marketing support information and other assistance, which the Licensee reasonably requests in connection with the promotion and sale of the Product. The Licensor will bear the cost of providing support to the Licensee, under this clause, up to a maximum of US$ 25,000 on a 12 monthly basis.
8.3 The Licensee must only use promotional materials: (a) supplied by the Licensor; or (b) approved by the Licensor. and such supply or approval will not be unreasonably withheld by Licensor.
8.4 In performing its obligations under this Agreement the Licensee must: (a) only use properly qualified and trained personnel; and (b) perform its obligations competently and professionally and in a manner which does not reduce the reputation of the Licensor, the Licensee and the Product.

(a) use all reasonable endeavours to promote the Licensed Product in the Market including attendances at trade fairs and exhibitions;
(b) use reasonable endeavours to ensure that each item of the Licensed Product and each item of Documentation and each accessory in the possession or control of Licensee retains all trade marks and copyright notices as are furnished to Licensee by Licensor from time to time; and

Subject to Section 3.9 (Xxxxx’x Reserved Rights), on a country-by-country basis, Buyer shall have the exclusive right, at its own costs, to conduct Promotional Activities, except for those activities agreed by the Parties to be performed by Xxxxx under the Transition Services Agreement. During the Pre-Marketing Authorization Period, Buyer shall, at Xxxxx’x reasonable request, provide a refreshed roster of its relevant sales force in order to enable Xxxxx, as the Marketing Authorization holder, to fulfill its obligations with respect to the registration and management of medical representatives under relevant medical representatives’ registration requirements in such country. From and after the date on which Xxxxx becomes the Marketing Authorization holder in a country, Buyer shall be responsible for the registration and management of medical representatives under relevant medical representatives’ registration requirements in such country.
Promotion of Product. During the term of this Agreement, CONSULTANT shall use best efforts to wear the headwear and display XXXXX GOLF’S brand name and to demonstrate, discuss and emphasize the newest features of XXXXX GOLF PRODUCT at every opportunity including but not limited to all Senior PGA tour events and promotional and advertising events in which CONSULTANT takes part.
