Protection against Unauthorized Use. Safeguarding the security of Subscriber Data (as defined in Section 2.1 below) that resides within the OneLogin Services is a shared responsibility between OneLogin (the “Data Processor”) and the Subscriber (the “Data Controller”) and, consequently: (a) OneLogin is responsible for any unauthorized access to, alteration of, or the deletion, destruction, damage, loss or failure to store and/or process any Subscriber Data that can be traced back to OneLogin’s personnel or OneLogin’s security control failure, and (b) Subscriber is responsible for any unauthorized access to, alteration of, or the deletion, destruction, damage, loss or failure to store and/or process any Subscriber Data that can be traced back to Subscriber’s personnel or Subscriber’s security control failure. Furthermore, OneLogin is responsible for properly configuring and administering the OneLogin Services and taking appropriate measures to maintain the security, protection and backup of Subscriber Data, including using encryption technology to protect Subscriber Data, and to routinely archive Subscriber Data. Subscriber shall be responsible for Subscriber Data that is added, modified, and removed from its OneLogin Services account and for maintaining the security of its systems that interface with the OneLogin Services and any account access passwords relevant to the OneLogin Services, and will use reasonable efforts to prevent any unauthorized use of the OneLogin Services and Documentation and immediately notify OneLogin in writing of any unauthorized use that comes to Subscriber’s attention. If there is unauthorized use by anyone who obtained access to the OneLogin Services directly or indirectly through Subscriber, Subscriber will take all steps reasonably necessary to terminate the unauthorized use. Subscriber will cooperate and assist with any actions taken by OneLogin to prevent or terminate unauthorized use of the OneLogin Services or Documentation.

Protection against Unauthorized Use. You will ensure that Your Permitted Third Parties comply with this Agreement. You will be directly and fully responsible to Us for their conduct and any breach of this Agreement by them. You will, and will ensure that Your Permitted Third Parties use reasonable efforts to prevent any unauthorized use of the Platform and Documentation. If an unauthorized use or access to the Platform or Documentation comes to Your attention, You shall notify Us in writing of said use or access and take all steps reasonably necessary to terminate such use or access as soon as reasonably possible.
Protection against Unauthorized Use. Customer shall promptly notify SELECTICA of any unauthorized use of the Software or Documentation which comes to Customer's attention. In the event of any unauthorized use by any of Customer's employees, agents or representatives, Customer shall use its best efforts to terminate such unauthorized use and to retrieve any copy of the Software or Documentation in the possession or control of the person or entity engaging in such unauthorized use. SELECTICA may, at its option and expense, participate in any such proceeding and, in such an event, Customer shall provide such authority, information and assistance related to such proceeding as SELECTICA may reasonably request.
Protection against Unauthorized Use. Legato prevents unauthorized use of Software by employing Enabler Codes and Authorization Codes that enable the use of the Software. If CaminoSoft modifies such enabler/authorization code scheme, it must use a scheme or method at least as effective to prevent unauthorized use of Software or CaminoSoft Derivative Works.
Protection against Unauthorized Use. Customer will use reasonable efforts to prevent any unauthorized use of the Services and immediately notify Provider in writing of any unauthorized use that comes to Customer’s attention. We may, at our expense and no more than once every 12 months with reasonable notice, have our own personnel or an independent third party audit your facilities and books to verify that your use of the Service complies with the terms of this Agreement, and you will reasonably cooperate with such audits.
Protection against Unauthorized Use. Licensee acknowledges that the Mobilize Software and any other materials furnished to Licensee by Mobilize involve valuable proprietary rights of Mobilize. Licensee will take appropriate steps and precautions to protect the Mobilize Software. Without limiting the generality of the foregoing, Licensee will use its best efforts to prevent any Unauthorized Use and immediately notify Mobilize in writing of any Unauthorized Use that comes to Licensee’s attention. In the event of any Unauthorized Use by anyone who obtained access to the Mobilize Software directly or indirectly through Licensee or any of its employees, agents, representatives, or contractors, Licensee will take all steps reasonably necessary to terminate such Unauthorized Use and to retrieve any copy of the applicable Mobilize Software in the possession or control of the person or entity engaging in such Unauthorized Use. Licensee will provide to Mobilize such cooperation and assistance related to any such Unauthorized Use as Mobilize may reasonably request.

Protection against Unauthorized Use. Customer shall promptly notify Tripwire of any unauthorized use, reproduction or distribution of the Software of which it becomes aware. In the event of any unauthorized use, reproduction or distribution by any of Customer’s employees, agents or representatives, Customer shall use commercially reasonable efforts to terminate any such unauthorized use and to retrieve any unauthorized copy of the Software in the possession or control of the person or entity engaging in such unauthorized use. Tripwire may, at its option and expense, participate in any such proceeding and, in such an event, Customer shall provide such authority, information and assistance related to such proceeding as Tripwire may reasonably request.
Protection against Unauthorized Use. Enterprise Customer acknowledges that the Licensed Products and any other materials furnished to Enterprise Customer by Licensor include valuable Proprietary Rights and Confidential Information of Licensor. Enterprise Customer will take appropriate steps for the protection of each of the foregoing. Without limitation, Enterprise Customer will use commercially reasonable efforts to prevent any unauthorized use, including any use, possession, knowledge, viewing, inspection, examination, copying, disclosure or other activity involving any Licensed Product that is not expressly authorized under this Agreement. Enterprise Customer will immediately notify Licensor in writing of any unauthorized use that comes to Enterprise Customer’s attention. In the event of any unauthorized use by any third party that obtained access to the Licensed Products directly or indirectly through Enterprise Customer or through any Authorized Users, Administrator or End Users, Enterprise Customer will take all steps reasonably necessary to terminate such unauthorized use. Enterprise Customer will provide Licensor such cooperation and assistance related to any such unauthorized use as Licensor may reasonably request.
Protection against Unauthorized Use. Licensee shall ensure that anyone who has authorized access to the Product and HBV Data under this Agreement complies with its provisions, and shall promptly notify SimplaGene of any unauthorized use of the Product or Documentation that comes to Licensee's attention. In the event of any unauthorized use is a result of any action taken by any of Licensee's employees, agents or representatives, Licensee shall use reasonable efforts to terminate such unauthorized use and to retrieve any copy of the Product or Documentation in the possession or control of the person or entity engaging in such unauthorized use. Licensee shall immediately notify SimplaGene of any legal proceeding initiated by Licensee in connection with such unauthorized use. SimplaGene may, at its option and expense, participate in any such proceeding and, in such event, Licensee shall provide such authority, information and assistance related to such proceeding as SimplaGene may reasonably request to protect SimplaGene's interests.
