Purchase Payments by the Lessee. (a) Any payment received by the Agent as a result of:
(i) the purchase of any or all of the Properties in connection with the exercise of the Purchase Option under Section 18.1 of the Master Lease,
(ii) compliance with the obligation to purchase (or cause its designee to purchase) all of the Properties in accordance with Section 18.2 of the Master Lease,
(iii) compliance with the obligation to purchase all unsold Properties in accordance with Section 16.2(e) of the Master Lease,
(iv) failure to fulfill one or more of the conditions to exercise of the Remarketing Option with respect to any Property pursuant to Section 20.1 of the Master Lease and Xxxxxx's receipt of the Lease Balance pursuant to the next-to-last paragraph of Section 20.1 of the Master Lease,
(v) the payment of the Property Balance with respect to any Property in accordance with Section 15.1 of the Master Lease, shall be distributed by the Agent to the Lessor and the Lenders PRO RATA without priority of one over the other, in the proportion that the Participant Balance of each of the Lenders and the Lessor bears to the aggregate of all of the Participant Balances.
Purchase Payments by the Lessee. Any payment received by the Administrative Agent as a result of:
(a) the purchase of all of the Properties in connection with the exercise of the Purchase Option under Section 18.1 of the Master Lease, or compliance with the obligation to purchase (or cause its designee to purchase) all of the Properties in accordance with Section 18.2 or 18.3 of the Master Lease, or
(b) compliance with the obligation to purchase all of the Properties in accordance with Section 16.2(f) of the Master Lease, or
(c) failure to fulfill one or more of the conditions to the exercise of the Remarketing Option with respect to any Property pursuant to Section 20.1 of the Master Lease and the receipt by the Lessor of the Lease Balance pursuant to the last paragraph of Section 20.2 of the Master Lease, or Xxx Research Corporation Participation Agreement
(d) the payment of the Property Balance with respect to any Property in accordance with Article XV or XVIII of the Master Lease. shall be distributed by the Administrative Agent to the Participants pro rata without priority of one over the other, in the proportion that the Participant Balance of each bears to the aggregate of all of the Participant Balances provided that if there is a shortfall in payment of any such amount, the Lenders shall be paid in full prior to any payment to the Lessor.
Purchase Payments by the Lessee. Any payment of the Property Balance received by the Lessor or the Administrative Agent as a result of:
(a) the purchase of the Property in connection with the exercise of the Purchase Option under Section 18.1 of the Lease, or
(b) compliance with the obligation to purchase (or cause its designee to purchase) the Property in accordance with Section 16.2(e) of the Lease, or
(c) failure to fulfill one or more of the Return Conditions pursuant to Article XX of the Lease, or
(d) the payment of the Property Cost pursuant to Section 15.1 of the Lease, or
(e) the payment of the Property Cost from the proceeds of any Casualty or Condemnation pursuant to Section 14.3 of the Lease, shall be distributed in the following order of priority: first, to each Participant for application to all accrued and unpaid interest, Return and Yield then owing on such Participant’s Loans, Capital or Lessor Amounts, as the case may be, pro rata among the Participants in accordance with the amount of such interest, Return or Yield payable to such Person. second, to the Lenders and Purchasers, pro rata in accordance with their respective Participant Balances, for application to pay in full all outstanding Loans and Capital; third, to the Lessor for application to pay in full all outstanding Lessor Amounts; fourth, so much of such payment or amount as shall be required to reimburse the Administrative Agent and the Lessor for any Taxes or reasonable costs or expenses (including reasonable attorneys’ fees and legal expenses) incurred by the Administrative Agent or the Lessor (to the extent not previously reimbursed and to the extent incurred in connection with any duties as the Administrative Agent or as the Lessor), shall be distributed to such Person for its own account; fifth, to the Participants pro rata in accordance with, and for application to reimburse such Persons for, any Taxes or reasonable costs or expenses (including reasonable attorney’s fees and legal expenses) incurred by such Participant in connection with the Property; and sixth, the balance, if any, of such payment or amounts remaining after satisfaction of all Obligations shall be promptly distributed to, or as directed by, the Lessee.
Purchase Payments by the Lessee. Any payment received by the ------------------------------- Agent as a result of:
(i) the purchase of all of the Equipment in connection with the Lessee's exercise of its Purchase Option under Section 18.1 of the Master Lease, or
(ii) the Lessee's compliance with its obligation to purchase (or cause its designee to purchase) all of the Equipment in accordance with Section 18.2 or 18.3 of the Master Lease, or
(iii) the Lessee's compliance with its obligation to purchase all unsold Equipment in accordance with Section 16.2(e) of the Master Lease, or
(iv) the Lessee's failure to fulfill one or more of the conditions required in order for Lessee to exercise the Remarketing Option with respect to any Equipment as set forth in Section 20.1 of the Master Lease, and the Lessor's receipt of the Lease Balance from the Lessee pursuant to the next-to-last paragraph of Section 20.1 of the Master Lease, shall be distributed by the Agent to pay each of the Lenders in full the Participant Balance of each Financing Lender and each Equity Lender.
Purchase Payments by the Lessee. Any payment received by the Indenture Trustee as a result of:
(a) the purchase of all of the Property in connection with the exercise of the Purchase Option under Section 18.1(a) of the Master Lease, or compliance with the obligation to purchase (or cause its designee to purchase) all of the Property in accordance with Section 18.2 or 18.3 of the Master Lease, or
(b) the purchase of the Solana Parcel or all or a portion of the Undeveloped Parcel in connection with the exercise of the Partial Purchase Option under Section 18.1(b) of the Master Lease, or
(c) compliance with the obligation to purchase all of the Property in accordance with Section 16.2(f) of the Master Lease, or
(d) failure to fulfill one or more of the conditions to the exercise of the Remarketing Option with respect to the Property pursuant to Section 20.1 of the Master Lease and the receipt by the Lessor of the Lease Balance pursuant to the last paragraph of Section 20.2 of the Master Lease, or
(e) the payment of the Property Balance with respect to the Property in accordance with Article XV or XVIII of the Master Lease, shall be distributed by the Indenture Trustee to the Participants pro rata without priority of one over the other, in the proportion that the Participant Balance of each bears to the aggregate of all of the Participant Balances.
Purchase Payments by the Lessee. Payment of the Lease Balance received by the Administrative Agent as a result of:
(a) the purchase of any Property in connection with the exercise of the Purchase Option under Section 18.1 of the Lease or compliance with the obligation to pay the amounts specified in Section 20.1(k) of the Lease, or
(b) failure to fulfill one or more of the Return Conditions pursuant to Article XX of the Lease, or
(c) the payment of the Lease Balance in accordance with Section 15.1 of the Lease, or
Purchase Payments by the Lessee. Any payment received by the Lessor as a result of: the purchase of the Property in connection with the exercise of the Purchase Option or Maturity Date Purchase Option under Section 20.1 or 20.2 of the Lease; or compliance with the obligation to purchase the Property in accordance with Section 17.2 of the Lease; or the payment of the Termination Value in accordance with Section 16.1 of the Lease; shall be distributed by the Lessor to the Lessor and the Lenders in the following order of priority: First, to the Lenders, pro rata, to pay the Lease Balance Debt; and Second, to the Lessor to pay the Lease Balance Equity.
Purchase Payments by the Lessee. Any payment received by the Agent as a result of:
(a) the purchase of the Property in connection with the exercise of the Purchase Option or Maturity Date Purchase Option under Section 20.1 or 20.2 of the Lease;
(b) compliance with the obligation to purchase the Property in accordance with Section 17.2 of the Lease; or
(c) the payment of the Lease Balance or Termination Value in accordance with Section 16.1
Purchase Payments by the Lessee. Any payment received by the Administrative Agent as a result of:
(a) the purchase of the Property in connection with the exercise of the Purchase Option under Section 18.1 of the Master Lease, or compliance with the obligation to purchase (or cause its designee to purchase) the Property in accordance with Section 18.2 or 18.3 of the Master Lease; or
(b) compliance with the obligation to purchase the Property in accordance with Section 16.2(f) of the Master Lease; or
(c) any amounts received pursuant to Section 20.3(b) of the Master Lease; or
(d) the payment of the Lease Balance with respect to the Property in accordance with Section 15.1 of the Master Lease or Section 4.3(b) of the Participation Agreement; shall be distributed by the Administrative Agent to the Lessors and the Lenders pro rata without priority of one over the other, in the proportion that the Participant Balance of each of the Lenders and the Lessor bears to the aggregate of all of the Participant Balances.
Purchase Payments by the Lessee. Any payment received by the Administrative Agent as a result of:
(a) the purchase of all of the Properties in connection with the exercise of the Purchase Option under Section 18.1 of the Master Lease, or compliance with the obligation to purchase (or cause its designee to purchase) all of the Properties in accordance with Section 18.2 or 18.3 of the Master Lease, or
(b) compliance with the obligation to purchase all of the Properties in accordance with Section 16.2(f) of the Master Lease, or
(c) failure to fulfill one or more of the conditions to exercise of the Remarketing Option with respect to any Property pursuant to Section 20.1 of the Master Lease and the receipt by the Lessor of the Lease Balance pursuant to the last paragraph of Section 20.2 of the Master Lease, or
(d) the payment of the Property Balance with respect to any Property in accordance with Article XV or XVIII of the Master Lease, Tandem Health Care of Ohio, Inc. Participation Agreement shall be distributed by the Administrative Agent to the Participants pro rata without priority of one over the other, in the proportion that the Participant Balance of each bears to the aggregate of all of the Participant Balances.
