Purchaser’s Condition. At the Closing, Seller shall deliver to Purchaser a certificate or certificates for the Shares, duly issued in the name of Purchaser or assigned in blank or with blank stock powers attached.
Purchaser’s Condition. On or before the Closing Date, the Purchaser shall have concluded and closed satisfactory financing arrangements to fund the transaction contemplated by this Agreement.

2.8.2.1 The Purchaser shall have obtained from the lawful authority all necessary clearances, authorisations, approvals and permissions required for, construction, commissioning, operation and maintenance of the Plant
2.8.2.2 The Purchaser shall have completed the (a) construction of at least 50% of the Plant(in cases where the last milestone provided in the LOA is the ordering of plant and equipment) or (b) commissioning of the Plant (in cases where the last milestone provided in the LOA is the completion of 50% construction of the Plant, as may be applicable and such commissioning or construction as the case may be has been certified by an Independent Engineer.
Purchaser’s Condition. The obligations of the Purchaser hereunder are subject to the condition that the Effective Date shall have occurred prior to March 1,1999 and that the Registration Statement shall remain effective from the initial Effective Date through March 1, 1999.
Purchaser’s Condition. Due Diligence
34.1. The date for satisfaction of this condition is fifteen (15) working days after the date this Agreement. If the condition is not satisfied the Purchaser will not be required to state any reason for the condition not being satisfied.
34.2. The parties acknowledge that this condition is inserted for the sole benefit of the Purchaser and may, at any time prior to the agreement being cancelled, be waived by the Purchaser giving written notice to the Vendor.
Purchaser’s Condition. The Purchaser herewith confirms that the Austrian Federal Minister of Labour and Economic Affairs has taken an approval decision pursuant to Section 7(2)(1)(b) of the Austrian Investment Control Act ("Austrian FDI Approval"). DM_DE 16571412-54.121932.0011
Purchaser’s Condition. This Agreement is conditional until 5:00 p.m. on or before May 25, 2023 (the “Condition Date”), upon the Purchaser, at its own expense, being satisfied in its sole and absolute discretion with the title and access to the property. This condition is included for the benefit of the Purchaser and may be waived at the Purchaser's sole option by notice in writing to the Vendor within the time period stated herein, failing which this Agreement shall be null and void and the Deposit returned in full without penalty and with interest.

ON THE CONDITION DATE, IN WHICH EVENT THIS AGREEMENT SHALL BE NULL AND VOID AND THE PURCHASER’S DEPOSIT SHALL BE RETURNED TO HIM IN FULL WITHOUT INTEREST AND DEDUCTION. IF THE PURCHASER FAILS TO DELIVER THE TERMINATION NOTICE PRIOR TO 5:00 P.M. Purchaser’s Condition. This Agreement is subject to the condition set forth in this Section, which have been inserted for the sole benefit of the Purchaser and may be waived by the Purchaser in its sole discretion, or by its solicitors on its behalf. The condition shall be waived or fulfilled within the Inspection Period. If the condition is not fulfilled within the Inspection Period, and the Purchaser fails to notify the Vendor or the Vendor’s solicitors that the conditions have been waived prior to the expiration of the Inspection Period, this Agreement shall be null and void, notwithstanding any intermediate act or negotiations, and, neither the Vendor or the Purchaser shall be liable to the other for any loss, costs or damages, and all deposit monies paid by the Purchaser shall be returned to the Purchaser with interest and without deduction. The condition set out in this Section is a condition of the obligation of the Purchaser to complete the transaction and is not a condition precedent to the existence or enforceability of this Agreement.
