Qualifying Termination After a Change in Control. In the event of a Qualifying Termination within three (3) years after a Change in Control, the Executive shall receive, in addition to the compensation and benefits described in subparagraphs (c)(i) and (c)(vi), above, the following benefits:

Qualifying Termination After a Change in Control. (1) A Qualifying Termination occurs if the Corporation or Employing Entity terminates the Employee's employment with the AirTouch Group for any reason including, without limitation, Cause or Disability within three years after a Change in Control;

  • Termination After a Change in Control You will receive Severance Benefits under this Agreement if, during the Term of this Agreement and after a Change in Control has occurred, your employment is terminated by the Company without Cause (other than on account of your Disability or death) or you resign for Good Reason.
