Quarterly Calls. CMS shall schedule quarterly conference calls with the state for the duration of the demonstration. The purpose of these calls is to discuss any significant actual or anticipated developments affecting the demonstration. Areas to be addressed include, but are not limited to, MCO operations (such as contract amendments and rate certifications), health care delivery, enrollment, quality of care, access, benefits, audits, lawsuits, financial reporting and budget neutrality issues, health plan financial performance that is relevant to the demonstration, progress on evaluations, state legislative developments, and any demonstration amendments, concept papers, or state plan amendments the state is considering submitting. The state and CMS shall discuss quarterly expenditure reports submitted by the state for purposes of monitoring budget neutrality. CMS shall update the state on any amendments or concept papers under review as well as Federal policies and issues that may affect any aspect of the demonstration. The state must inform CMS of any changes it anticipates making to the demonstration as a Category I, II, or III change. The state and CMS shall jointly develop the agenda for the calls.

The State and CMS (both the project officer and the regional office) will jointly develop the agenda for the calls.

Quarterly Calls. At the request of the Administrative Agent, the Borrower shall hold a conference call with the Administrative Agent and the Lenders at reasonable times to be mutually agreed to with the Administrative Agent and the Lenders to discuss the financial results of operations of the Borrower and its Subsidiaries; provided that no more than one call per fiscal quarter shall be required.
Quarterly Calls. At the request of the Administrative Agent, the Borrower shall hold a conference call with the Administrative Agent and the Lenders at reasonable times to be mutually agreed to with the Administrative Agent and the Lenders to discuss the financial results of operations of the Borrower and its Subsidiaries; provided that (x) no more than one call per fiscal quarter shall be required and (y) if the Borrower is holding a conference call open to the public to discuss the financial condition and results of operations of the Borrower and its Subsidiaries for the most recently-ended fiscal period, the Borrower will not be required to hold a second, separate call for the Lenders as long as Lenders are provided access to such conference call.

Quarterly Calls. A Responsible Officer of Parent will hold and participate in one conference call per quarter with the Lender Group, and at such other times as the Administrative Agent requests, to discuss information delivered pursuant to Section 6.1(a) regarding Parent’s business on a consolidated basis. Parent will hold such conference call following the last day of each fiscal quarter of Parent and not later than five (5) Business Days from the time that Parent delivers the information as set forth in Section 6.1(a)(ii). Parent will provide Administrative Agent with at least three (3) Business Days' advance notice of such calls.
Quarterly Calls. Holdings and the Issuer will, upon the request of the Note Agent or the Requisite Purchasers, participate in quarterly conference calls of the Note Agent and Purchasers in connection with the delivery of the financial statements of Holdings and its Subsidiaries pursuant to Sections 5.1(b) and (c) at such time as may be agreed to by the Issuer and the Note Agent.
