Recording of Assignment. Upon its receipt of a duly completed Assignment executed by an assigning Lender and an assignee, the assignee’s completed Administrative Questionnaire (unless the assignee shall already be a Lender hereunder), the processing and recordation fee referred to in clause (b) (Assignments by Lenders) above and any written consent to such assignment required by clause (b) (Assignments by Lenders) above, the Agent shall accept such Assignment and record the information contained therein in the Register. No assignment shall be effective for purposes of this Agreement unless it has been recorded in the Register as provided in this clause (d).
Recording of Assignment. Assignor authorizes and requests the Commissioner of Patents and Trademarks in the United States to record Assignee as assignee and owner of the registered trademarks and applications for registrations set forth on Schedule A, for the sole use and enjoyment of Assignee, its successors and assigns.
Recording of Assignment. Assignor hereby authorizes and requests the U.S. Director of Patents and Trademark Office, and the corresponding entities or agencies in any applicable foreign countries, to record Assignee as owner of the Patents that are set forth on Exhibit A.
Recording of Assignment. The parties hereto agree to execute a Memorandum of this Agreement (short form) for the purpose of recording same in the records of the appropriate state counties so as to give public notice pursuant to the laws of the State of Nevada and Arizona, of the existence of this agreement.
Recording of Assignment. The Agent shall maintain at its office in the City of Chicago a copy of each Assignment and Acceptance delivered to it and a register for the recordation of the names and addresses of the Lenders, and the Commitments of, and principal amount of the Loans owing to, each Lender pursuant to the terms hereof from time to time (the "Register"). The entries in the Register shall be conclusive in the absence of manifest error and the Borrower, the Agent and the Lenders may treat each person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by the Borrower and any Lender, at any reasonable time and from time to time upon reasonable prior notice.
Recording of Assignment. Upon delivery of the assignments, FARMEE agrees to file said instruments of record in the appropriate county offices and to furnish FARMOR with a copy of the recorded and/or approved instruments.
Recording of Assignment. (a) At the Closing Date, and from time to time thereafter as Buyer may reasonably request, Buyer shall prepare and Seller shall execute such documents as Buyer may reasonably request in order to record the assignment of the Transferred TE Trademarks, the Transferred TE Domain Names and the Transferred TE Patents. Buyer shall use commercially reasonable efforts to record within a reasonable period of time the transfer of such Trademarks, domain names and Patents with the competent authorities, unless Buyer has elected to abandon or withdraw such Trademarks, domain names or Patents. The responsibility and expenses of preparing and filing such transfer documents and any action required ancillary thereto shall be borne solely by Buyer.
Recording of Assignment. (a) At or within a reasonable time after the Closing, Buyers shall prepare and Sellers shall execute such documents as Buyers may reasonably request in order to record the assignment of the Transferred Orion Trademarks, the Transferred Orion Other Intellectual Property Rights, the Transferred Orion Product Registrations and Transferred Orion Governmental Authorizations. Buyers shall file, as expeditiously as commercially reasonably practicable, for the recording of the transfer of such trademarks (with the exceptions of those trademarks which Buyers do not intend to use), other intellectual property rights and product registrations with the competent authorities. The responsibility and third party expenses of preparing and filing such documents and any action required ancillary thereto shall be borne solely by Buyers. Buyers shall indemnify each of Sellers and their Affiliates for, and hold each of them harmless against, any loss or damage, including fees, penalties or fines and third party claims, due to Buyers’ failure to record any assignment of any such trademarks, other intellectual property rights and product registrations pursuant to this Article, unless such failure is related to any failure or delay of Sellers or any of their affiliates in performing necessary acts or provide necessary information.
Recording of Assignment. Promptly after the date of this Agreement the Borrower shall ensure that its financial statements and shall procure that its parent company's financial statements indicate that the Borrower has assigned the Receivables (together with the ancillary rights and the security, if any) to the Bank. The Borrower shall register its financing statement in the Personal Property Security Registration System of the Province of Ontario for a period of 12 years and provide the Bank with copy of the verification statement evidencing such registration.
Recording of Assignment. Seller shall prepare, complete and execute an Assignment covering each Mortgage Loan in the related Loan Package subject to the related Mortgage Loan Conveyance Agreement and deliver the same, together with the related intervening assignments, to Purchaser (or its designee) as part of the related Mortgage File. Purchaser shall file such Assignment(s) in the appropriate filing offices for recording and any costs associated therewith (including filing or recording fees) shall be included in Seller's Transaction Expense Share for the related Pool.
