Reference Plans. ‌ 3.3.2.1 Design-Build Contractor acknowledges and agrees that constraints set forth in the PPA Documents, including Planned ROW Limits, the Basic Configuration, IFA’s schedule for acquisition of property within the Planned ROW Limits, conditions of IFA-Provided Approvals, and Site conditions, will impact Design-Build Contractor’s ability to revise the concepts contained in the Reference Plans. 3.3.2.2 Design-Build Contractor may rely on the Planned ROW Limits identified in the Reference Plans, and shall have the right to obtain a Change Order for Necessary Basic Configuration Changes as provided herein, but acknowledges that the Reference Plans is otherwise conceptual in nature and cannot be relied upon as presenting a design solution that is feasible, practical or complies with all of the requirements of the PPA Documents. Design-Build Contractor’s entitlement to an increase in the Contract Price or extension of Completion Deadlines in connection with any changes in the Reference Plans is limited to Necessary Basic Configuration Changes.

Reference Plans. The reference plans mean reference plans 64R-14621 and 64R-14622 deposited at the Land Registry Office for the Registry Division of Metropolitan Toronto according to which land on Xxxx’x Island is described.
Reference Plans. If a reference plan of survey will need to be prepared and deposited on title to a Property prior to Closing in order for the Vendor to deliver a transfer/deed, in registrable form, for the related Property, the Vendor covenants and agrees to arrange for such reference plan to be prepared and deposited prior to Closing at the Vendor’s expense.

  • Distribution Plans You shall also be entitled to compensation for your services as provided in any Distribution Plan adopted as to any series and class of any Fund’s Shares pursuant to Rule 12b-1 under the 1940 Act. The compensation provided in any such Distribution Plan (a “12b-1 Plan”) may be divided into a distribution fee and a service fee, as set forth in such Plan and the Fund’s then current prospectus and statement of additional information (“SAI”), each of which is compensation for different services to be rendered to the Fund. Subject to the termination provisions in a 12b-1 Plan, any distribution fee with respect to the sale of a Share subject to such Plan shall be earned when such Share is sold and shall be payable from time to time as provided in the 12b-1 Plan. The distribution fee payable to you as provided in any 12b-1 Plan shall be payable without offset, defense or counterclaim (it being understood by the parties hereto that nothing in this sentence shall be deemed a waiver by the Fund of any claim the Fund may have against you).

  • Construction Plans Tenant shall prepare final plans and specifications for the Tenant Improvements that (a) are consistent with and are logical evolutions of the Approved Schematic Plans and (b) incorporate any other Tenant-requested (and Landlord-approved) Changes (as defined below). As soon as such final plans and specifications ("Construction Plans") are completed, Tenant shall deliver the same to Landlord for Landlord's approval, which approval shall not be unreasonably withheld, conditioned or delayed. All such Construction Plans shall be submitted by Tenant to Landlord in electronic .pdf, CADD and full-size hard copy formats, and shall be approved or disapproved by Landlord within ten (10) business days after delivery to Landlord. Landlord's failure to respond within such ten (10) business day period shall be deemed approval by Landlord. If the Construction Plans are disapproved by Landlord, then Landlord shall notify Tenant in writing of its objections to such Construction Plans, and the parties shall confer and negotiate in good faith to reach agreement on the Construction Plans. Promptly after the Construction Plans are approved by Landlord and Tenant, two (2) copies of such Construction Plans shall be initialed and dated by Landlord and Tenant, and Tenant shall promptly submit such Construction Plans to all appropriate Governmental Authorities for approval. The Construction Plans so approved, and all change orders approved (to the extent required) by Landlord, are referred to herein as the "Approved Plans."

  • Incentive Plans During the Term of this Agreement, Executive shall be entitled to participate in all bonus, incentive compensation and performance based compensation plans, and other similar policies, practices, programs and arrangements of the Company, now in effect or as hereafter amended or established, on a basis that is commensurate with his position and no less favorable than those generally applicable or made available to other executives of the Company. The Executive's participation shall be in accordance with the terms and provisions of such plans and programs. Participation shall include, but not be limited to:
