Reimbursement of Incremental Costs. Lessor will reimburse Lessee for its share of incremental costs within thirty (30) days of receipt from Lessee of documentation reasonably required by Lessor of the incremental costs actually incurred in accordance with the CMMP. Lessee shall not submit for reimbursement of incremental costs more frequently than monthly.

Reimbursement of Incremental Costs. The Provider shall reimburse Client for all incremental costs and expenses incurred by Client to provide the applicable portion of the Services (corresponding to the Transition Wave(s)) over and above the amount of the Fees which have been or would otherwise have been payable to Provider for those Services (including, without limitation, labor costs and costs related to interest, software applications and maintenance). Client may set off any such costs and expenses against the Fees, if any, due under the Agreement. By way of example only, assume Provider’s Transition milestone payment for meeting a Service Commencement Date for the final cutover of Network Services as of May 1 is $20,000, and Provider fails to meet such Service Commencement Date and is delayed by one (1) full month. Assume further that as a result of such month long delay Client hires or retains additional staff to maintain the then-current legacy network services and mitigate damages, and incurs an additional $8000 in charges for a total outlay of $28,000 ($20,000 transition milestone payment + $8000 in extra charges to hire support personnel). In such event, Provider shall reimburse to Client the incremental $8000 charge incurred in order to fill the service maintenance gaps created by Provider’s failure to achieve full Transition of the network services by the Service Commencement Date.

  • Payment of increased costs The Borrower shall pay to the Agent, on the Agent’s demand, for the account of the Notifying Lender the amounts which the Agent from time to time notifies the Borrower that the Notifying Lender has specified to be necessary to compensate the Notifying Lender for the increased cost.
