Rentable Area of Building. For all purposes of this Lease, Landlord and Tenant hereby agree that there are 97,712 Rentable Square Feet contained in the Building based on BOMA Measurement Standards.

Rentable Area of Building. For all purposes of this Lease, Landlord and Tenant hereby agree that there are approximately One Hundred Forty-Three Thousand Three Hundred Eight (143,308) Rentable Square Feet contained in the Building, based on BOMA Measurement Standards. The determination of the number of Rentable Square Feet comprising the Premises, as set forth in Section 1.2 above, has similarly been determined using BOMA Measurement Standards, provided that a fifteen percent (15%) add-on factor has been used to calculate the ratio for the multi-tenant occupancy of Tenant. Tenant and Landlord hereby stipulate and agree that the number of Rentable Square Feet comprising the Building and the Premises is as set forth in this Section 2.2 and in Section 1.2 above, respectively, notwithstanding any minor variations in measurement or other minor variations that may have been incurred in the calculation thereof; provided, that Landlord reserves the right to amend the measurement of the Building and/or Premises, in accordance with the measurement standards described in this paragraph above, upon the occurrence of any alterations, additions or reductions to either of same.
Rentable Area of Building. Total Rentable Area of ------------------------- the building is approximately 19,617 square feet.

THIS MEMORANDUM is made and entered into as of 2010, by and between CLOCK TOWER, LLC, a Delaware limited liability company, (“Landlord”), and TRUECAR, INC., a Delaware corporation (“Tenant”) with respect to that certain Office Lease between Landlord and Tenant dated as of May 10, 2010 (the “Lease”). The term of the Lease commenced on August 1, 2010, defined in Section 3.1 of the Lease as the Commencement Date (as to the 6th Floor Premises), and May 10, 2010, defined in Section 3.1 as the 12th Floor Commencement Date (as to the 12th Floor Premises). The term of the Lease shall expire on December 31, 2010 unless sooner terminated or extended pursuant to the Lease.
Rentable Area of Building. For all purposes of this Lease, Landlord and Tenant hereby stipulate and agree that there are approximately One Hundred Ninety-Two Thousand Five Hundred and Ninety-Three (192,593) Rentable Square Feet contained in the Building. The determination of the number of Rentable Square Feet comprising the Premises, as set forth in Section 1.2 above, is similarly hereby stipulated and agreed to by the Landlord and Tenant. Tenant and Landlord hereby stipulate and agree that the number of Rentable Square Feet comprising the Building and the Premises shall be and remain as set forth in this Section 2.2 and in Section 1.2 above, respectively, notwithstanding anything to the contrary contained in this Lease, and further notwithstanding any minor variations in measurement or other minor variations that may have been incurred in the calculation thereof.
