Reports and Tax Returns. A copy of the Company annual financial statement and report will be transmitted to the members within fifteen (15) days after completion or by March 1st following the end of the tax year, whichever is earlier. The Company will, within time required by law, file a federal income tax return and transmit to each member a schedule showing the member’s distributive share of the Company’s income, losses, deductions and credits. The Company will further provide to each member information regarding all state and local income tax returns.

Reports and Tax Returns. A financial statement for the Company shall be made and reported on as of the end of each fiscal year. A copy of the annual financial statement and report shall be transmitted to the members within ninety days after the end of each fiscal year. The Company shall, within ninety days after the end of each fiscal year, file a federal income tax informational return and transmit to each member a schedule showing the member’s distributive share of the Company’s income, losses, deductions, credits, and other information necessary to enable to members to timely file their federal income tax returns. The Company shall also file and provide information to the members regarding, all applicable state and local income tax returns. The Company’s “Tax Matter Partner” shall be Xxxx Xxxxxxxx, who shall have the authority to exercise the functions provided in Sections 6221-6223 of the Internal Revenue Code and the authority to delegate those functions to another person.
Reports and Tax Returns. The Company books shall be closed and ----------------------- balanced at the end of each fiscal year. As soon as practicable after the end of each year, the Managers shall transmit to each Person who was a Member at any time during the year the Schedule K-1 (form 1065) for the Member for such year and a copy of the related Form 1065 and attachments. The Managers shall cause to be prepared and filed all tax returns for the Company, and all tax elections concerning the Company shall be made at the direction of the Managers. Each Member agrees that it shall not, without the consent of the Managers, take any position on any of its original or amended income tax returns or claims for refund any position with respect to any Company item of income, gain, loss, deduction, or credit that is inconsistent with the treatment of such item by the Company on the Schedule K-1.
Reports and Tax Returns. Within one hundred twenty (120) days after the end of each fiscal year (subject to reasonable delays in the event of difficulty in obtaining or compiling financial information), the Partnership shall deliver to each Person who was a Partner at any time during the fiscal year a financial statement of the Partnership, including a balance sheet and statements of income, Partner’s equity, and cash flows for such fiscal year, which shall be prepared in accordance with generally accepted accounting principles consistently applied and shall be audited by a firm of independent certified public accountants selected by the General Partner. Within ninety (90) days after the end of each fiscal year (subject to reasonable delays in the event of difficulty in obtaining or compiling of tax information), the Partnership shall transmit to each Person who was a Partner at any time during the fiscal year the Schedule K-1 (IRS Form 1065) for the Partner for such year. The General Partner shall cause to be prepared and filed all tax returns for the Partnership, and all tax elections concerning the Partnership shall be made at the direction of the General Partner. Each Partner agrees that it shall not take on any of its original or amended income tax returns or claims for refund any position with respect to any Partnership item of income, gain, loss, deduction, or credit that is inconsistent with the treatment of such item by the Partnership on the Schedule K-1.
Reports and Tax Returns. (a) CPH shall prepare and distribute to the Members the following financial information: (i) When reasonably available from the Company's Accountants after the end of the Company's tax year (and any short tax period) and completion of the Company's audit, federal and state Company income tax returns and Forms K-1. CPH agrees to use reasonable efforts to complete and deliver such reports within seventy-five (75) days after the end of the Fiscal Year. If CPH cannot reasonably deliver such reports within that time frame, CPH shall promptly notify the Members and file for any necessary tax filing extensions with respect thereto, and deliver evidence thereof to the Members, prior to the applicable filing deadline. (ii) Within forty-five (45) days after the end of each fiscal quarter, CPH shall provide the Members with a balance sheet and statement of income of the Company for such quarter, and CPH's calculation of the amount of Available Cash, if any, to be distributed to the Members. (iii) Within ninety (90) days after the end of each Fiscal Year, CPH shall provide the Members with a balance sheet and statement of income of the Company for such Fiscal Year, audited by the Company Accountant (as defined in Section 7.3). (iv) CPH shall supply the Member with copies of CPH's management reports and similar documents and other information as may be reasonably requested from time to time. (v) In addition, CPH shall cause to be prepared and filed on behalf of the Company income, sales, use, property, payroll and other tax returns required of the Company in accordance with all applicable statutes and regulations and tax accounting principles, consistently applied.
Reports and Tax Returns. 4.6.1 Within 90 days after the end of each fiscal year of the Company, the Manager shall cause to be prepared and transmitted to each Member, an unaudited annual report of the Company relating to the previous fiscal year of the Company, containing a statement of financial condition as of the year then ended, and a statement of operations, available cash, and Company equity for the year then ended. In addition, the Manager will cause to be distributed to Members quarterly operating statements within 45 days of the end of each quarter, as well as descriptions of new acquisitions and dispositions. 4.6.2 As soon as possible but in no event later than 90 days after the end of each fiscal year, provided that the Company has sufficient information, the Company shall cause to be prepared and transmitted to the Members federal and appropriate state and local Company Income Tax Schedules “K-1,” or any substitute therefor, with respect to such fiscal year on appropriate forms prescribed.

Within one-hundred and twenty (120) days after the end of each fiscal year, except in extraordinary situations, the Executive Committee shall mail to each Partner (i) financial statements for the Partnership, including its balance sheet as of the end of the year, its statement of income and earnings for the year, and a statement of changes in its financial position for the year; (ii) all necessary financial, tax, and other data required for inclusion in or preparation of tax returns for the Partners; (iii) financial statements for the business entity which operates the System in Panama City including its balance sheet as of the end of the year, its statement of income and earnings for the preceding year and a statement of changes in its financial position for the year. The Executive Committee may issue other reports from time to time as it considers appropriate.
