Representations, Warranties, Covenants and Indemnities. (a) NeST represents, warrants and covenants that all Work Product is original to NeST, that NeST is the sole creator of the Work Products, that no Work Product has been published; that NeST has not made any commitment for the use or publication of the Work Product; and that no such Work Product nor the use thereof does or will violate or infringe upon any patent, copyright, trademark, trade secret or other property right of any other person, whether or not similar to any of the foregoing, nor entitle any third party to make a claim against Company for the unlawful use of confidential information or trade secrets. NeST further represents and warrants that the Work Product contains no matter which is libelous or otherwise contrary to law. NeST agrees that NeST will indemnify and hold Company harmless from any and all losses, costs, claims, demands, expenses (including attorney's fees), and liabilities whatsoever arising from its breach of any warranty or any misrepresentation with respect to the provisions of this Section 5.5, and at NeST's own expense will defend with legal counsel acceptable to Company, or, Company, at its option, may defend with its legal counsel at its cost and NeST will assist in such defense, providing, however, that NeST has received reasonably prompt notice of any matter of which Company has knowledge which gives rise to a right of indemnity hereunder. During the pendency of any claim against NeST with respect to infringement, Company may withhold payment of any sums otherwise required to be paid hereunder.

The Indemnitor hereby represents and warrants to the Lender that, except as noted in the Environmental Report, to the best of the Indemnitor's knowledge, after due inquiry and investigation: (i) the Premises is not in direct or indirect violation of any federal, state, or local laws, ordinances, regulations, standards, rules, policies or other governmental requirements or any court judgments applicable to the Indemnitor or to the Premises relating to industrial hygiene or to environmental or unsafe conditions or to human health including, but not limited to, those relating to the generation, manufacture, storage, handling, transportation, disposal, release, emission or discharge of Hazardous Materials (as defined below), those in connection with the construction, fuel supply, power generation and transmission, waste disposal or any other operations or processes relating to the Premises, and those relating to the atmosphere, soil, surface and ground water, wetlands, stream sediments and vegetation on, under, in or about the Premises, including but not limited to, the following laws, as amended as set forth herein and as subsequently amended: (1) the Comprehensive Environmental Response, Compensation, and Liability Act of 1980, as amended by the Superfund Amendments and Reauthorization Act of 1986, 42 USCA 9601 et seq.; (2) the Solid Waste Disposal Act, as amended by the Resource Conservation and Recovery Act of 1976, as amended by the Hazardous and Solid Waste Amendments of 1984, 42 USCA 6901 et seq.; (3) the Federal Water Pollution Control Act, as amended by the Clean Water Act of 1977, 33 USCA 1251 et seq.; (4) the Toxic Substances Control Act, 15 USCA 2601 et seq.; (5) the Emergency Planning and Community Right-to-Know Act of 1986, 42 USCA 00000 xx seq.; (6) the Clean Air Act, as amended by the Clean Air Act Amendments, 42 USCA 7401 et seq.; (7) the National Environmental Policy Act of 1969, 42 USCA 4321 et seq.; (8) the River and Harbor Act of 1899, 33 USCA 401 et seq.; (9) the Endangered Species Act of 1973, 16 USCA 1531 et seq.; (10) the Occupational Safety and Health Act of 1970, 29 USCA 651 et seq.; (11) the Safe Drinking Water Act, 42 USCA 300(f) et seq.; and (12) the Hazardous Materials Transportation Act, 49 USCA 1801 et seq., and all regulations from time to time adopted in respect to the foregoing laws (collectively, "Hazardous Materials Laws"); (ii) the Premises are not subject to any private or governmental lien or judicial or ad...

The covenants and agreements of the parties contained in this Agreement shall survive the Closing in perpetuity; provided that claims based upon or arising out of the Selling Parties’ covenants in Section 9.1 and Section 9.2 hereof must be made by the Indemnified Parties in reasonable detail in a writing received by the applicable Indemnifying Party prior to the date that is twelve (12) months following the Closing. The Indemnifying Parties’ indemnification obligations pursuant to Section 12.2(a)(iii), Section 12.2(b)(iii), Section 12.3(a) and Section 12.3(b) hereof (other than with respect to obligations arising under Section 9.22, which shall survive the Closing until ten (10) days following the final determination of the Multiemployer Plan Liabilities under Section 9.22) and Buyer’s indemnification obligations pursuant to Section 12.3(c) hereof shall expire on the date that is eighteen (18) months from the Closing Date; provided, however, that the expiration of such indemnification obligations shall not affect an Indemnified Party or Seller Indemnified Party (with respect to their indemnification rights under Section 12.3(c)) in respect of any claim made by such party in reasonable detail in a writing received by the Indemnifying Party or Buyer, as applicable, prior to the expiration of such eighteen (18) month period (or the applicable period described above with respect to obligations arising under Section 9.22 hereof).
